REAL ESTATE OPTION ADDENDUM

This Real Estate Option Addendum ("Option") is entered into on Execution Date: by and between the undersigned Seller and Optionee.

Exercise of Option

To exercise the Option, Optionee must deliver written notice of exercise to Seller at Seller Notice Address set forth below no later than 5:00 p.m. on the Expiration Date. Notice must identify the Property and state Optionee's intent to purchase under this Option. Delivery may be by personal delivery, certified mail, courier, or electronically where accepted by Seller. Inspections, Access, and Condition

Optionee, and Optionee's agents and contractors, shall have the right to enter the Property during the Option Term for inspections, tests and feasibility studies upon reasonable notice to Seller and at reasonable times. Optionee shall indemnify and hold Seller harmless from claims, liabilities, costs, and damages arising out of Optionee's entry and activities, except to the extent caused by Seller's gross negligence or willful misconduct.

Default, Remedies and Effect of Expiration

If Optionee fails to timely exercise the Option, the Option shall terminate and Seller shall retain the Option Fee as liquidated damages, unless otherwise agreed in writing. If Seller breaches this Option by transferring or encumbering the Property in a manner that unreasonably impedes Optionee's ability to exercise the Option, Optionee's remedies shall include specific performance, damages, or rescission. The parties acknowledge that the Option Fee is not intended as a penalty and reasonably approximates the damages for loss of the opportunity to purchase.

Representations and Warranties

Seller represents that Seller has authority to grant the Option and that, to Seller's knowledge, Seller holds title free and clear of material undisclosed encumbrances except as disclosed in writing. Seller makes no warranty as to the condition of the Property except as expressly set forth in any subsequent purchase agreement. Optionee acknowledges reliance on Optionee's own inspection and investigation.

Allocation of Costs and Closing

Unless otherwise set forth in the purchase agreement executed upon exercise, customary closing costs shall be allocated as follows: Seller pays for release of encumbrances and Seller's owner title policy costs; Optionee pays for lender-required costs, escrow fees and loan-related charges. Real estate taxes, assessments and utilities shall be prorated as of the closing date.
