Exercise of Option

Notice of exercise must be in writing and delivered by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested, to the address for notices set forth herein.

The written notice must specify the proposed closing date and attach any required deposit instruments. Exercise is effective upon Optionor's receipt of the written notice.

Inspections; Condition; Contingencies

Optionee shall have calendar days from date of exercise to complete inspections and investigations. If Optionee notifies Optionor in writing of any objections within that period, the parties shall have business days to agree a remedy or terminate the Agreement.

Financing contingency: Optionee's obligation to close is contingent upon obtaining financing on terms acceptable to Optionee within days after exercise.

Representations, Disclosures and Environmental

Optionor represents that, to Optionor's knowledge: (a) there are no undisclosed material defects to the Property other than as disclosed below; (b) Optionor has authority to grant this Option; and (c) there are no pending actions or notices affecting title other than recorded encumbrances disclosed in escrow.

Title and Conveyance

Title shall be conveyed by general warranty deed (or other deed as required by applicable law) free of all liens and encumbrances, except those approved by Optionee in writing. Closing costs and prorations shall be handled as follows: each party shall pay customary costs for which it is ordinarily responsible under local practice, unless otherwise agreed in writing.

Default; Remedies

If Optionee timely exercises and Optionor fails to close in accordance with this Agreement, Optionee may seek specific performance or pursue monetary damages. If Optionee fails to timely exercise the Option, Optionor may retain the Option consideration as liquidated damages and the Option shall terminate, unless Parties otherwise agree in writing.

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice.
