Default; Remedies

If Optionee fails to timely exercise the Option or fails to timely pay any sums due under this OTL Document, Landlord may retain the option consideration as liquidated damages, pursue specific performance of the Option or pursue any other remedy available at law or equity. If Landlord breaches any material obligation and fails to cure within a reasonable period after written notice, Optionee may seek damages or specific performance as allowed by law.

Assignment; Transfer; Title

Optionee may not assign or transfer the Option without Landlord's prior written consent, which shall not be unreasonably withheld. Landlord represents that, to its knowledge, there are no recorded encumbrances that would prevent leasing the Property except as previously disclosed in writing.

Notices

All notices required or permitted under this OTL Document shall be in writing and delivered to the addresses below by personal delivery, certified mail, or overnight courier, and shall be effective upon receipt.

Miscellaneous Provisions

Governing law: The validity, interpretation, and performance of this OTL Document shall be governed by the laws of the state specified below without regard to conflict of law principles.

Entire Agreement; Amendment: This OTL Document constitutes the entire agreement between the parties with respect to the Option and supersedes all prior negotiations. This OTL Document may be amended only by a written instrument signed by both parties.

Counterparts; Electronic Signature: This OTL Document may be executed in counterparts and by electronic signature, each of which shall be deemed an original and all of which together shall constitute one instrument.
