REAL ESTATE OWNED (REO) PROPERTY REPORT AND ASSET TRANSFER AGREEMENT

This Real Estate Owned Property Report and Asset Transfer Agreement (the Agreement) documents the material facts, condition and disposition authority for the Property identified below and establishes the terms under which the Owner transfers or places the Property into asset management with the Asset Manager.

SCOPE OF WORK

The Asset Manager shall perform the services described below and any additional tasks reasonably necessary to prepare the Property for marketing and disposition in accordance with the instructions and budget approved by Owner.

PAYMENT TERMS

Management Fee: Owner agrees to pay Asset Manager a management fee of per month and/or a disposition commission of % of gross sales proceeds upon completion of a sale.

Payment Schedule: Fees shall be invoiced monthly and are due within days of invoice. Late payments shall incur a late fee of % per month on unpaid balances.

Either party may terminate this Agreement for convenience upon written notice delivered not less than days prior to the effective termination date. Termination shall not relieve Owner of obligations to pay fees and expenses incurred prior to termination.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information disclosed by the other party in connection with this Agreement and the management, marketing and disposition of the Property, including but not limited to borrower files, proprietary valuation data and any confidential third-party reports. Confidential information shall not be used for any purpose other than performance under this Agreement and shall not be disclosed except as required by law or as necessary to effectuate the transactions contemplated herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, understandings and agreements, whether written or oral. Any amendment, modification or waiver to this Agreement must be in writing and signed by both parties.

The undersigned Owner certifies that, to the best of Owner's knowledge, the information provided in this form is true, complete and correct and that Owner is authorized to provide the information and enter into this Agreement.
