AUTHORIZATION, REPRESENTATIONS, AND ACKNOWLEDGEMENTS

By signing below, the Payor authorizes the Payee named above to initiate pre-authorized debits (PADs) against the account indicated on this form for the amounts and frequency specified. The Payor further authorizes the Payee's financial institution to debit such entries to the Payor's account. This authorization remains in effect until revoked in writing by the Payor with at least the notice period specified below.

The Payor represents and warrants that the information provided is true and complete, that the Payor is either the account holder or an authorized signatory on the account, and that the Payor will notify the Payee in writing immediately of any changes to the account information or termination of this authorization. The Payor agrees to notify the financial institution of any claim for reversal or reimbursement in accordance with applicable payment system rules.

The Payee may terminate or vary the PAD arrangement on provision of written notice to the Payor. The Payor's right to cancel or revoke this authorization is subject to providing written notice to the Payee sufficient to allow the Payee and the financial institution a reasonable opportunity to act on the notice. The Payor acknowledges that a prior-notification requirement may be necessary for certain types of variable debits and agrees to any such notification terms set forth in this form.

The Payor acknowledges that debits may be returned for insufficient funds or other reasons and agrees that the Payee may charge reasonable fees for returned items or retries. The Payor agrees to indemnify and hold the Payee harmless from any losses, costs or damages resulting from the Payor's failure to provide correct banking information or from insufficient funds unless caused solely by the Payee's error.

The Payor acknowledges receipt of a copy of this PAD form and the terms contained herein. The Payor consents to electronic or paper notices related to PADs, billing adjustments, and pre-notification where required by applicable payment rules.

DEFAULT, REMEDIES, AND MISCELLANEOUS

In the event of failed debits, the Payee may suspend service or pursue collection under the underlying contractual arrangement related to the property. Remedies for breach of this authorization are cumulative to any other remedies available at law or in equity. This authorization constitutes the entire agreement with respect to PAD instructions and supersedes prior oral or written authorizations between the parties regarding automatic debits for the property identified herein.
