Default by Contractor shall permit Owner to provide written notice and grant a cure period of days. Remedies available to the non-defaulting party include termination, damages, and completion by others. The parties acknowledge these remedies are cumulative and in addition to any remedies at law.

Insurance, Indemnity and Compliance

Contractor shall maintain commercial general liability, workers' compensation, and automobile liability insurance with limits adequate for the project and shall name Owner as an additional insured for claims arising from Contractor operations. Contractor agrees to indemnify and hold Owner harmless from claims arising from Contractor's performance except to the extent caused by Owner's gross negligence or willful misconduct.

Notices, Governing Law and Entire Agreement

All notices under this Plan shall be in writing and delivered to the contact information provided above. This Plan shall be governed by the laws of the state where the Property is located. This Plan constitutes the entire agreement between the parties with respect to the pool design and construction and supersedes all prior negotiations and representations, whether written or oral.
