REAL ESTATE POSSESSION ADDENDUM

This Possession Addendum is attached to and made a part of the Purchase Agreement dated between Buyer Name: and Seller Name: , concerning the Property located at (the "Property").

Buyer acknowledges occupancy prior to closing is conditioned upon Buyer obtaining and maintaining liability and property insurance covering Buyer’s possession and use of the Property. Buyer agrees to provide proof of insurance to Seller prior to taking possession.

Seller shall vacate by the specified date and deliver keys and possession in broom clean condition, ordinary wear and tear excepted. Seller is responsible for utilities and insurance until vacating; Seller shall indemnify Buyer for loss or damage occurring during holdover.

Condition of Property and Access

Early occupancy or holdover occupancy is on an "AS IS" basis as to condition except for conditions expressly agreed in writing. Buyer shall have reasonable access for final walk-through and inspections prior to possession. Any repairs required prior to Buyer possession shall be documented and addressed pursuant to the Purchase Agreement.

Insurance, Risk of Loss and Indemnification

If Buyer takes possession prior to Closing, risk of loss for damage occurring after Buyer takes possession shall remain with Seller until Closing unless otherwise agreed in writing. Buyer shall maintain liability insurance covering Buyer’s possession and use. Each party shall indemnify and hold the other harmless from claims arising from that party’s occupancy or acts while in possession, including attorney’s fees and costs incurred to enforce this Addendum.

Utilities, Maintenance and Repairs

Unless otherwise agreed in writing, the occupying party shall be responsible for utilities and routine maintenance during their period of possession. Major structural repairs required before possession shall be the responsibility of Seller unless otherwise noted below.

Default and Remedies

If either party fails to comply with the possession terms of this Addendum, the non-breaching party may pursue all remedies available under the Purchase Agreement and applicable law, including injunctive relief, damages and recovery of reasonable attorney’s fees and costs.

Miscellaneous

This Addendum constitutes the entire agreement regarding possession between the parties and supersedes prior negotiations on this subject. This Addendum shall be governed by the laws of the State of and may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.
