The parties shall use commercially reasonable efforts to mitigate the effects of any Force Majeure event and to resume performance as soon as reasonably practicable.

Privacy, Medical Information and Confidentiality

Any health-related information, test results, or medical records disclosed under this Addendum shall be treated as confidential and used solely for the limited purposes set forth herein. What the Real Estate Post-COVID Addendum Is

The Real Estate Post-COVID Addendum is a contract attachment that documents changes to occupancy, health disclosures, cleaning protocols, access rules, and contingency timing prompted by COVID-19 or similar public-health events. It is typically appended to residential lease agreements, purchase contracts, and property management documents to clarify tenant and landlord responsibilities, inspection access, and remedies if health restrictions affect performance. The addendum preserves negotiated terms in writing, aligns expectations about safety measures and disclosures, and can be executed electronically or on paper depending on governing law and notarization needs.

Why a Post-COVID Addendum Matters in Real Estate

The addendum reduces ambiguity about health-related access, disclosure obligations, and time-sensitive contingencies, helping parties avoid disputes when public-health conditions change.

Why a Post-COVID Addendum Matters in Real Estate

Who Typically Prepares or Signs This Addendum

Real estate brokers, property managers, landlords, buyers, sellers, and attorneys commonly prepare or sign a Post-COVID Addendum.

  • Residential landlords and property managers coordinating tenant safety protocols and access permissions.
  • Buyers and sellers negotiating inspection timing, closing contingencies, and seller disclosures tied to health events.
  • Commercial property owners and tenants updating occupancy and common-area cleaning responsibilities.

Each party should confirm authority to bind the entity they represent and whether additional disclosures or local approvals are required.

Essential Elements to Include in a Professional Addendum

A well-drafted Post-COVID Addendum combines clear definitions, specific obligations, timing rules, and remedies to minimize later disagreement.

Definitions

Define terms such as 'public-health order,' 'close contact,' and 'quarantine period' so obligations activate only under agreed conditions.

Health Disclosures

Specify whether parties must disclose diagnosis or exposure, the method of disclosure, and privacy protections consistent with HIPAA where applicable.

Access & Inspections

Detail procedures for inspection scheduling, PPE requirements, virtual inspection options, and who may attend in-person visits.

Cleaning & Sanitization

Allocate responsibility for enhanced cleaning, frequency, standards to be met, and documentation or receipts to substantiate compliance.

Timing & Contingencies

Set explicit cure periods, inspection windows, and whether closing dates shift automatically under defined health orders.

Indemnity & Remedies

State any indemnification for costs arising from infection spread, insurance obligations, rent abatement, or termination rights.

Step-by-Step: Completing a Post-COVID Addendum

Follow these sequential steps to prepare, review, and execute the addendum correctly.

  • 01
Draft: Insert specific clauses and define triggers clearly.
  • 02
Review: Have legal counsel or broker review for local compliance.
  • 03
Agree: Confirm all parties accept the language and dates.
  • 04
Execute: Sign electronically or in writing per governing law.

Configuring an Online Workflow for This Addendum

Set up a digital flow that assigns roles, secures authentication, and captures an audit trail for each signer.

Field Configuration
Signer Order Set sequential or parallel signing per negotiation.
Authentication Use email + SMS code or stronger methods for identity assurance.
Conditional Fields Show or hide clauses based on selected trigger options.
Retention Policy Automatically archive executed copies and audit logs.

Where to File or Send the Addendum After Execution

After signature, route copies to all parties, the lease or purchase file, and any third parties squarely identified in the agreement.

  • Upload: Attach fully executed addendum to the master contract file.
  • Notify Parties: Send executed copies to each party and their counsel.
  • Record: Record only if required by local law or lender instruction.
  • Store: Move to secure document repository for retention.

Technical Options for eSigning and Submission

Choose a platform that supports compliant eSignature, audit trails, and required integrations with your document systems.

  • File Formats: PDF, DOCX supported
  • Integrations: Salesforce, Google Workspace, NetSuite
  • Authentication: Email, SMS, KBA options

Confirm the selected platform meets any industry or regulatory needs (for example HIPAA BAA or 21 CFR Part 11) before executing the document digitally.

Common Timing Rules and Deadlines to Note

Set and communicate deadlines within the addendum to avoid uncertainty about inspections, notice, and cure periods.

Acceptance Period:

Specify number of days for seller or landlord acceptance.

Inspection Deadline:

State inspections must occur within the stated inspection window.

Cure Period:

Allow defined days to remedy breaches before termination rights apply.

Notice Timing:

Require written notice methods and deadlines for exposure disclosures.

Escalation:

Include path for dispute escalation and response timing.

Common Mistakes to Avoid

  • Using vague trigger language that creates ambiguity about when obligations begin or end.
  • Failing to align the addendum with the main agreement’s governing law and dispute-resolution clauses.
  • Overlooking privacy obligations when medical or health information is disclosed, risking HIPAA exposure.
  • Not documenting who pays for additional cleaning, testing, or quarantine-related costs, causing later disputes.

Key Risks and Consequences of Incorrect Addenda

Invalid Signatures: May render the addendum unenforceable.
HIPAA Exposure: Unauthorized health disclosures create regulatory risk.
Deposit Loss: Poorly drafted termination clauses can forfeit deposits.
Recording Errors: Failure to record when required can affect title.
State Noncompliance: Local statute conflicts can void clauses.
Insurance Gaps: Undefined obligations may leave parties uninsured.
