Commission and Payment: Seller acknowledges the proposed commission described above and agrees that such commission shall be earned and due upon the occurrence of events set forth in the final listing agreement, including without limitation the acceptance of a contract to purchase subject only to contingencies identified in the purchase contract.

Seller Representations and Warranties: Seller represents that Seller is the lawful owner(s) of the Property, that there are no undisclosed encumbrances or liens other than those disclosed in writing to Broker, and that Seller has full authority to enter into the listing agreement and to convey marketable title at closing.

Indemnity: Seller will indemnify, defend and hold Broker harmless from and against any losses, claims, costs or liabilities arising from Seller's misrepresentations or failure to disclose material facts about the Property, except to the extent caused by Broker's gross negligence or willful misconduct.

Default and Remedies: If Seller refuses to execute a bona fide purchase contract presented in accordance with the final listing agreement, Seller may be liable for the Broker's commission and other remedies available at law or equity.

Governing Law and Entire Agreement: This Pre-Listing Package shall be governed by the laws of the state where the Property is located. This Package, when incorporated into the final listing agreement, constitutes the entire agreement between the parties with respect to its subject matter and supersedes prior communications.
