Buyer offers to purchase the Property from Seller on the terms set forth below. This document constitutes a preemptive offer and, upon Seller's acceptance in writing, will become a binding purchase agreement subject to the contingencies stated herein.

This offer is contingent upon Buyer obtaining loan approval for not less than within days following mutual acceptance. If Buyer fails to secure financing within this period, Buyer may terminate and receive return of earnest money in accordance with the escrow instructions.

Seller acknowledges receipt of this preemptive offer and agrees that for a period of days from the Offer Date Seller shall not solicit, negotiate, or accept any other bona fide offers to purchase the Property nor enter into any listing agreement or contract that would conflict with this Offer. If Seller receives a bona fide competing offer during that period, Seller must notify Buyer in writing and allow Buyer days to match the competing material terms.

Taxes, assessments, rents, and utilities shall be prorated through the Closing Date unless otherwise agreed in writing.

Default and Remedies

If Buyer fails to perform after mutual acceptance (other than as permitted by contingencies), Seller may pursue all remedies at law or in equity including retention of earnest money as liquidated damages if specified in escrow instructions. If Seller fails to perform, Buyer may seek specific performance or return of earnest money, in addition to other remedies.

Entire Agreement: This Offer, together with any written acceptance, exhibits, and escrow instructions, constitutes the entire agreement between the parties and supersedes all prior negotiations and understandings relating to the Property.
