What a Real Estate Preferred Equity Agreement Is

A Real Estate Preferred Equity Agreement is a private contract between capital providers and a property sponsor that creates a preferred equity interest in a real estate investment. It sets the preferred return, distribution priority, liquidation preference, capital contribution terms, conversion rights, and events of default. Preferred equity sits between senior debt and common equity in the capital stack and typically provides a fixed return and limited governance rights. The agreement also governs reporting, capital calls, transfer restrictions, and remedies, and it should align with applicable tax and securities laws for the parties involved.

Why Use a Preferred Equity Agreement for Real Estate Deals

This agreement clarifies investor priority, preserves sponsor control, and documents economic allocation and exit mechanics. It reduces ambiguity about cash distributions, default remedies, and tax treatment, which helps manage investor expectations and supports financing discussions.

Why Use a Preferred Equity Agreement for Real Estate Deals

Who Typically Prepares and Signs This Agreement

Key stakeholders include sponsors, preferred equity investors, legal counsel, and tax advisors who negotiate economic and governance terms.

  • Private equity sponsors and developers who structure the deal and manage the asset; they draft or review contract language to preserve managerial control and distribution priorities.
  • Institutional and accredited preferred equity investors who require defined returns, reporting, and protections; they review tax allocation, liquidation preference, and transfer restrictions carefully.
  • Outside counsel and tax advisors who ensure the agreement complies with securities laws, tax characterization, and state contract formalities; they draft exhibits and negotiate representations.

Essential Elements to Include in a Professional Agreement

A complete Preferred Equity Agreement addresses economics, governance, and exit mechanics so parties understand priorities and remedies across the life of the investment.
