Seller represents and warrants that Seller is the lawful owner of the Property and has full authority to execute this Amendment. Seller authorizes Broker to change the listing price in the Multiple Listing Service, property marketing materials, and advertising in accordance with this Amendment. Seller agrees to indemnify and hold Broker harmless from any claims, losses or liabilities arising from Seller's failure to disclose material facts associated with the Property, except to the extent caused by Broker's willful misconduct or gross negligence.

Default, Remedies and Miscellaneous

This Amendment shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Except as expressly amended herein, all other terms and conditions of the Listing Agreement remain in full force and effect. Any dispute arising out of or related to this Amendment shall be governed by the laws of the state in which the Property is located. The remedies available to the parties are cumulative and not exclusive. This Amendment may be executed in counterparts and by electronic signature, each of which shall be deemed an original.
