REAL ESTATE PROCESSING AGREEMENT

Parties

Recitals

This Agreement is entered into between Processor and Client effective as of (the Effective Date). Client desires to engage Processor to provide processing services related to the marketing, intake, document preparation, and administrative processing for the sale, lease, or management of the real property identified below, and Processor agrees to provide such services on the terms and conditions set forth herein.

Scope of Services

Processor shall perform the services described below (collectively, the Services). Processor shall perform services in a timely, professional manner consistent with industry standards and applicable law.

Property Identification

Fees, Payment, and Invoicing

Client shall pay Processor the fees set forth below in consideration for the Services. Fees are non-refundable except as expressly provided herein.

All fees are exclusive of taxes. Client is responsible for any sales, use, value-added, transfer, or similar taxes arising from this Agreement.

Term; Termination

This Agreement commences on the Effective Date and continues until unless earlier terminated in accordance with this Section. Either party may terminate for material breach if the breaching party fails to cure within days after written notice.

Confidentiality and Data Security

Processor shall treat all Client materials and customer data as Confidential Information. Processor shall implement and maintain commercially reasonable administrative, physical and technical safeguards to protect Confidential Information against unauthorized access, disclosure, alteration or destruction. Processor shall not use Confidential Information for any purpose other than performing the Services and shall not disclose Confidential Information except (i) with Client's prior written consent, or (ii) to comply with law, provided Processor gives Client prompt notice where permitted.

Subcontracting; Assignment

Processor may engage subcontractors to perform portions of the Services provided that Processor remains responsible for compliance with this Agreement. Neither party may assign this Agreement or its rights hereunder without the prior written consent of the other party, except that Processor may assign to an affiliate or in connection with a sale of substantially all of its assets.

Representations and Warranties

Each party represents that it has the authority to enter into this Agreement and to perform its obligations. Processor warrants that Services will be provided in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, PROCESSOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

Indemnification and Insurance

Each party agrees to indemnify, defend and hold harmless the other party from and against claims arising from its breach of this Agreement, negligence, or willful misconduct. Processor shall maintain commercial general liability and professional liability insurance in amounts sufficient for the Services and shall provide evidence of such insurance upon Client's request.

Disclosures and Property Conditions

Client represents and warrants that to its knowledge the following disclosures are accurate. Client shall promptly notify Processor of any material change to these disclosures.

Default and Remedies

Upon default, the non-defaulting party shall provide written notice and a cure period as set forth above. Remedies are cumulative and include termination, recovery of fees and costs, and injunctive relief to protect confidential information or prevent unauthorized use of data.

Governing Law; Dispute Resolution; Entire Agreement

This Agreement shall be governed by the laws of the State of without regard to conflict of law principles. The parties shall attempt to resolve disputes in good faith; unresolved disputes may be submitted to arbitration or litigation as selected by the parties. This Agreement, together with any exhibits or attachments, constitutes the entire agreement between the parties and supersedes prior negotiations and agreements.

Miscellaneous Provisions

Notices shall be in writing and delivered to the addresses provided above. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
