Representations and Warranties

Assignor represents and warrants to Assignee that, to Assignor's knowledge after reasonable inquiry: (a) Assignor is the lawful owner of the Assigned Interest and has full power and authority to enter into and perform this Assignment; (b) there are no outstanding assignments, options, or transfers of the Assigned Interest other than as disclosed below; (c) there are no defaults under the underlying contract or agreement that would permit termination by the other contracting party, except as disclosed below; and (d) the Assigned Interest is free of any undisclosed liens or encumbrances other than those identified in this document.

Assumption, Indemnity, and Liabilities

Assignee acknowledges and agrees to accept the Assigned Interest subject to any recorded liens and obligations described herein. Assignee agrees to indemnify, defend and hold Assignor harmless from and against any and all claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising from Assignee's acts or omissions after the Effective Date, except to the extent caused by Assignor's breach of this Assignment.

Notices

Any notice required or permitted under this Assignment shall be in writing and delivered to the parties at the addresses set forth below by certified mail, return receipt requested, overnight courier, or personal delivery, and shall be deemed given upon receipt.

Default and Remedies

If either party materially breaches this Assignment, the non-breaching party shall provide written notice specifying the breach and a reasonable cure period of thirty (30) days. If the breach is not cured within the cure period, the non-breaching party may pursue all remedies available at law or in equity, including specific performance, damages, and recovery of reasonable attorneys' fees and costs incurred in enforcing this Assignment.

Governing Law; Miscellaneous

This Assignment shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Assignment constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. This Assignment may not be amended except by a written instrument signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.

Each party represents and warrants that the person executing this Assignment on its behalf is duly authorized to do so, and that the party has the legal capacity to enter into this Assignment.
