REPRESENTATIONS, WARRANTIES AND COVENANTS

Holder hereby represents and warrants that: (a) Holder has good and marketable title to each property listed, subject only to the encumbrances expressly disclosed in this Statement; (b) all property taxes and assessments known to Holder as of the date of this Statement have been paid or are the subject of disclosure in this Statement; (c) there are no undisclosed leases, tenancies, or possession claims affecting the properties except as set forth herein; and (d) the information contained in this Statement is true and complete in all material respects.

Holder covenants to notify Recipient in writing within days of discovery of any material change to title, liens, liabilities, environmental conditions, or other conditions that reasonably could affect the value or marketability of the properties.

Holder agrees to indemnify, defend and hold harmless Recipient from and against any losses, claims, liabilities or expenses arising from any material misrepresentation or breach of the foregoing representations and warranties, except to the extent such losses arise from Recipient’s own negligence or willful misconduct.

DEFAULT; REMEDIES

A breach by Holder of any material representation, warranty or covenant in this Statement that is not cured within thirty (30) days after written notice from Recipient shall constitute a default. Upon default, Recipient shall be entitled to pursue all available remedies at law or in equity, including recovery of damages, costs and attorneys’ fees incurred in enforcing this Statement.

GOVERNING LAW; ENTIRE AGREEMENT

This Statement shall be governed by and construed in accordance with the laws of the state in which the majority of the properties listed are located. This Statement contains the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. This Statement may not be amended except by a written instrument executed by both parties.

EXECUTION; COUNTERPARTS

This Statement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic transmission bearing an original signature shall be equivalent to delivery of a manually executed counterpart.
