Representations, Warranties and Remedies

Client represents and warrants that it has authority to enter this Order Form and that the information supplied is true and complete. Provider warrants that services will be performed in a professional manner consistent with commonly accepted industry standards. Provider's sole monetary liability for breach of this Order Form shall not exceed the fees paid by Client for the specific service at issue. Client's exclusive remedies for Provider breach are limited to re-performance of nonconforming services or, if re-performance is impracticable, refund of the fees paid for the affected service.

Insurance, Indemnity and Liability

Provider shall maintain commercially reasonable professional liability and general liability insurance. Client agrees to indemnify and hold harmless Provider from claims arising from Client-supplied information, access conditions, or Client's failure to disclose material facts, except to the extent caused by Provider's gross negligence or willful misconduct.

Cancellation, Termination and Refunds

Cancellation by Client less than 48 hours prior to scheduled service may result in fees for time and expenses incurred. Termination for cause requires written notice describing the breach and a 10-day cure period. Refunds, if any, will be issued in accordance with Provider's customary refund practices but shall not exceed amounts actually paid by Client for the affected service.

Confidentiality and Use of Reports

Reports, findings, and work product prepared by Provider are for Client's use and may not be relied upon by third parties without Provider's prior written consent. Both parties agree to keep non-public information confidential except as required by law or as necessary to perform services under this Order Form.

Governing Law and Entire Agreement

This Order Form shall be governed by the laws of the state where the property is located. This document, together with any attachments or written amendments signed by both parties, constitutes the entire agreement between Client and Provider with respect to the services ordered and supersedes all prior negotiations and understandings.
