This Proposal constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes prior negotiations, representations, or agreements, whether written or oral, relating to the Property.

Acceptance

This Proposal shall remain open for acceptance until at 5:00 p.m. local time, unless earlier revoked by the Proposer. Acceptance must be in writing and signed by Seller to be effective.

If accepted, the parties shall execute a formal Purchase Agreement incorporating these material terms within a commercially reasonable period. Should any term herein conflict with the subsequently executed Purchase Agreement, the Purchase Agreement shall control as to that conflict only.
