What the Real Estate PS Agreement Is and When It Applies

The Real Estate PS Agreement is a standardized professional services contract used to document terms between real estate professionals and clients for property-related services such as property management, brokerage, consulting, or project oversight. It clarifies scope of work, deliverables, fees, payment schedule, termination rights, confidentiality, indemnification, and applicable governing law. The template supports addenda for state-specific disclosures and integrates signature, initial, and date fields for each party. When completed correctly and executed under applicable electronic-signature laws, it creates an enforceable contract for commercial and consumer transactions.

Why a Formal PS Agreement Matters in Real Estate

A Real Estate PS Agreement defines expectations, assigns responsibilities, and reduces disputes by documenting payment terms, scope, and risk allocation. It supports regulatory compliance and traceability when paired with an audit trail and preserves evidence needed for enforcement, audits, or financing conversations.

Why a Formal PS Agreement Matters in Real Estate

Who Typically Prepares and Signs This Agreement

Designed for agents, property managers, owners, and vendors, the agreement standardizes engagements across transactions and portfolios.

  • Real estate brokers using standard terms to list and close property services quickly.
  • Property managers contracting maintenance, leasing, and tenant-relations services for multiple properties.
  • Owners and investors documenting consultant fees, performance milestones, and termination conditions.

Use consistent templates to reduce negotiation cycles, support compliance, and create a reliable record for audits and financing.

Step-by-step: Completing the Real Estate PS Agreement

Follow these sequential steps to complete the agreement accurately and produce an enforceable document.

  • 01
Collect Party Data: Enter full legal names and addresses for all parties.
  • 02
Describe Scope: Define services, deliverables, milestones, and acceptance criteria.
  • 03
State Payment Terms: Specify fees, schedule, invoicing, and late payment remedies.
  • 04
Sign and Date: Obtain signatures, dates, and witness or notary if required.

Core elements to include in a professional PS Agreement

A complete agreement groups the principal clauses—parties, scope, fees, schedule, liability, and termination—plus required disclosures and exhibits.

Parties

Identify each contracting party by full legal name, business entity type, and mailing address; include authorized representative contact details to ensure attribution and service of notices is unambiguous.

Scope

Describe services with measurable deliverables, timelines, milestones, and acceptance criteria; attach a statement of work or exhibits to prevent scope disputes.

Compensation

State fees, billing schedule, payment methods, late fees, and any retainer; specify responsibility for taxes and third-party costs and how adjustments are handled.

Term & Termination

Define start and end dates, renewal terms, termination for convenience or cause, notice requirements, and any post-termination obligations or transition assistance.

Liability

Limit liability and disclaim consequential damages where permitted; include indemnity language and insurance requirements tied to the nature of services.

Disclosures

Attach required state property disclosures, environmental or lead-based paint notices, and any broker commission or dual-agency disclosures applicable to the transaction.

Security and compliance features to note

Encryption: TLS 1.2/1.3; AES-256 at rest
Access Controls: Role-based permissions and SSO
Audit Trail: Timestamps, IP, action history
HIPAA: BAA available for covered entities
Certifications: SOC 2 Type II; ISO 27001
Data Residency: Configurable controls; EU-US framework

Key risks and legal consequences of errors

Incorrect Names: May void or delay enforcement
Missing Signatures: Document may be unenforceable
Wrong Effective Date: Alters rights and obligations
Improper Notarization: Can invalidate deed or filing
Late Filings: Trigger penalties or interest
Unclear Scope: Increases litigation risk

Common preparation mistakes to avoid

  • Failing to attach exhibits or SOWs that list deliverables, which creates ambiguity about acceptance and payment triggers.
  • Using vague compensation language such as 'reasonable fees' instead of fixed amounts or a clear billing schedule.
  • Omitting notice and escalation procedures, which delays dispute resolution and can increase costs for all parties.
  • Neglecting state-specific disclosure requirements — missing items may create statutory rescission rights or fines.
