What the Real Estate P&S Document Is

Real Estate P&S Document is a legally binding contract used to record terms between buyer and seller for residential or commercial property transfers. It specifies the parties, purchase price, deposit and financing contingencies, property description, closing date, title and survey obligations, inspections, prorations, representations, and remedies for breach. The P&S also allocates closing costs, defines possession timing, and may include contingency removal deadlines. When properly executed and paired with required disclosures, it establishes enforceable obligations governed by state real estate and contract law.

Why a Clear P&S Matters

Use a clear Real Estate P&S Document to set binding expectations, allocate risk, and document closing conditions. A complete P&S reduces disputes, clarifies financing and inspection contingencies, and creates an enforceable framework for title transfer and remedies under state contract and property law.

Why a Clear P&S Matters

Who Typically Prepares and Signs a P&S

Typical users who draft or sign a Real Estate P&S Document include brokers, buyers, sellers, attorneys, title agents, and lenders.

  • Real estate brokers and agents preparing contract terms with standard contingencies.
  • Buyers using financing, inspection periods, and earnest money to secure purchase rights.
  • Sellers specifying price, disclosures, title condition, and possession dates for closing.

Industry professionals and legal counsel often review the P&S to ensure compliance with state disclosure statutes and enforceability.

Essential Elements to Include in a Professional P&S

Core elements of a professional Real Estate P&S Document describe deal terms, contingencies, title obligations, closing mechanics, representations, and default remedies.

Parties

Identify buyer(s) and seller(s) by full legal name, entity type, and contact details; include authorized signatory names for LLCs or corporations to avoid identity disputes at closing.

Property

Provide the full property address, legal description or parcel number, and any included fixtures or exclusions; attach survey exhibits when location or boundary precision is required.

Price & Deposit

State the purchase price, deposit amount, escrow instructions, acceptable payment methods, and conditions for deposit forfeiture or release in the event of contingencies or default.

Contingencies

Include inspection, financing, appraisal, and title review contingencies with clear deadlines and procedures for removal or notice to avoid unintended contract termination, and inspection cure procedures.

Closing

Specify target closing date, extension options, prorations for taxes and utilities, location of closing, responsibilities for obtaining and delivering closing documents, and wiring instructions for funds.

Defaults

Describe breach remedies, liquidated damages if any, cure periods, deposit disposition, and rights to specific performance or termination consistent with state contract law, and title insurance obligations.

Common Preparation Pitfalls

  • Omitting a clear legal description or parcel identifier can delay title review and lead to recording defects that impair transferability.
  • Failing to state the exact deposit handling or escrow instructions risks disputes and possible forfeiture under contract remedies.
  • Using ambiguous contingency deadlines or poor removal procedures can unintentionally terminate the agreement or create litigation exposure.
  • Not matching signatory names to title or formation documents may invalidate signatures at closing and require corrective affidavits.

Consequences of an Incorrect or Incomplete P&S

Deposit Forfeiture: Buyer may forfeit earnest money deposit.
Contract Termination: Contingency failure can void contract.
Recording Delay: Title defects delay transfer.
Legal Fees: Parties may incur litigation costs.
Tax Liability: Post-closing tax adjustments possible.
I-9/Compliance: Employment-related deadlines may trigger fines.
