What the Real Estate PSA Closing Document Covers

The Real Estate PSA Closing Document is the assembled set of signed records that finalize a purchase and sale transaction and transfer title. It typically includes the executed purchase and sale agreement, closing statement or settlement statement, deed, payoff and release documents, affidavits, prorations, escrow instructions, and any required seller disclosures. The package records the agreed purchase price, adjustments, the official closing date, and conditions precedent and provides the factual and legal basis for recording the transfer, initiating title insurance, and completing tax reporting and lien releases.

Why a Complete Closing Package Matters

A professionally assembled PSA closing document minimizes title defects, supports accurate tax reporting, documents prorations and payoffs, and creates an evidentiary record for post-closing disputes; accuracy reduces recording delays and compliance risk.

Why a Complete Closing Package Matters

Who Typically Prepares and Receives the Closing Package

Core participants prepare, review, or receive the PSA closing document at or before closing.

  • Buyers and their attorneys review final deed wording and title exceptions before funding.
  • Sellers and listing brokers confirm payoff amounts, disclosures, and delivery of cure items.
  • Title companies and closers assemble closing statements, recordable instruments, and insurance instructions.

Each party has distinct responsibilities; clear role allocation prevents last-minute issues and recording delays.

Core Elements to Include in a Professional Closing Package

A complete closing set groups documents by function and ensures each instrument is signed, dated, and notarized as required for recording.

Deed

Recordable deed conveying title (warranty or special warranty) with correct grantor/grantee names, notarization, and county recording block completed.

Closing Statement

Settlement statement (itemizing price, credits, prorations, payoffs, closing costs) used by escrow and for lender/disbursement instructions.

Affidavits

Seller and purchaser affidavits addressing authority, non-foreign status for tax purposes, and absence of mechanics liens when applicable.

Payoff Docs

Payoff letters, lien releases, and satisfaction instruments required to clear existing mortgages and recorded encumbrances.

Step-by-Step: Preparing the Closing Document Set

Follow this sequential checklist to assemble and verify documents prior to closing.

  • 01
Order Title Commitment: Request title commitment and review exceptions early.
  • 02

  • 03
Prepare Recording Instruments: Draft deed and ancillary forms for the recorder's office.
  • 04
Final Review: Verify signatures, notarizations, and settlement statement accuracy.

How the Closing Document Moves Through Participants

  • Title Prepares: Title company assembles closing package for review.
  • Lender Reviews: Lender confirms payoff and disbursement terms.
  • Parties Sign: Buyer and seller execute documents, notarize where required.
  • Recording: Recorder files deed and returns recorded documents to title.

Common Preparation Mistakes to Avoid

  • Using an informal or abbreviated property description instead of the recorded legal description, causing recorder rejection or title exceptions.
  • Mismatched party names between the deed, PSA, and lender documents, which can require corrective affidavits and delay recording.
  • Failing to confirm notarization or witness requirements for the recorder’s jurisdiction, resulting in unrecordable instruments.
  • Omitting payoff or lien release documentation that prevents clear title and holds up disbursement of proceeds.

Consequences of Errors in the Closing Package

Recording Delay: Postponed transfer of record title
Tax Reporting: Possible IRC §6721 penalties if information returns incorrect
Title Risk: Insurance exceptions or claim exposure
Funding Hold: Lender may refuse disbursement
Legal Disputes: Exposure to breach or specific performance claims
Additional Costs: Correction deeds and re-recording fees
