RECITALS

WHEREAS, Broker is duly licensed and authorized to act as a real estate broker and procures, lists, markets, or otherwise facilitates the purchase, sale or lease of real property; and

WHEREAS, Referring Agent has relationships with prospective buyers, sellers or lessees and desires to refer such prospects to Broker in exchange for the referral compensation specified herein; and

WHEREAS, Broker desires to accept referrals from Referring Agent on the terms and conditions set forth in this Agreement.

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Referral" means an identifiable prospective Buyer, Seller or Lessee introduced by Referring Agent to Broker that results in an introduction recorded by Broker and that is not already a current client or listed prospect of Broker at the time of introduction.

"Closing" means the consummation of a purchase, sale or lease transaction for which Broker has procured, or would have been entitled to, a commission under Broker's customary practices and applicable law.

2. APPOINTMENT AND SCOPE

Referring Agent is hereby authorized to make introductions of prospective clients to Broker solely for the purpose of facilitating real estate transactions. Referrals made under this Agreement do not grant Referring Agent authority to bind Broker, negotiate on behalf of Broker, or execute documents in Broker's name.

3. DUTIES OF REFERRING AGENT

Referring Agent shall: (a) accurately disclose to referred prospects the identity of Broker as the broker that will handle the transaction; (b) provide Broker with sufficient contact information and any material facts known to Referring Agent related to the prospect or property; and (c) refrain from undertaking negotiations or actions that purport to commit Broker without Broker's written authorization.

4. DUTIES OF BROKER

Broker shall exercise reasonable commercial efforts to follow up on referrals promptly and shall handle the transaction in compliance with Broker's licensing obligations and fiduciary duties. Broker retains sole discretion over listing, marketing, negotiating and closing any transaction.

5. COMPENSATION

Subject to the terms of this Agreement, if a Referral results in a Closing, Broker shall pay Referring Agent a referral fee equal to % of the gross commission actually received by Broker from such transaction, or a flat fee of $ , whichever is applicable and as confirmed in writing by Broker prior to Closing.

Payment of any referral fee is conditioned upon Broker's receipt of the commission and is subject to reduction for refunds, credits or adjustments actually charged to Broker by the closing parties. No fee shall be due for any transaction that is procured solely by Broker without the Referring Agent's introduction.

6. PAYMENT TERMS

Broker shall remit the referral fee to Referring Agent within days after Broker's receipt of funds at Closing. Payment shall be made by check or electronic transfer to the account designated by Referring Agent in writing.

7. RECORDING OF REFERRALS

Referrals must be submitted in writing to Broker and acknowledged in writing by Broker to be effective for fee entitlement. Broker's internal records and transaction files shall determine priority among competing referrals, provided that Broker's acknowledgment shall not be unreasonably withheld.

8. CONFIDENTIALITY

Each Party agrees to keep confidential and not disclose to third parties non-public business information, client lists, pricing, terms and other confidential information received in connection with this Agreement, except as required by law or with the prior written consent of the other Party.

9. NON-CIRCUMVENTION

Neither Party shall directly solicit or consummate a transaction with a referred prospect to avoid payment of the referral fee. If, within months of a Referral, a transaction closes between Broker and the referred prospect, the referral fee shall be owed in accordance with Section 5.

10. TERM AND TERMINATION

This Agreement shall commence on the Effective Date and continue for a term of months unless earlier terminated by either Party upon days' written notice. Termination shall not affect the obligation to pay referral fees for Referrals made prior to termination that result in a Closing.

11. INDEPENDENT CONTRACTOR

Referring Agent is an independent contractor and nothing contained in this Agreement shall be deemed to create a partnership, joint venture, agency for service of process, or employment relationship between the Parties. Referring Agent shall be solely responsible for all taxes, withholdings and other statutory obligations.

12. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder; that the execution and delivery of this Agreement has been duly authorized; and that performance will not violate any applicable law.

13. INDEMNIFICATION

Each Party shall indemnify, defend and hold harmless the other Party from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying Party's breach of this Agreement, negligence, willful misconduct, or violation of law.

14. LIMITATION OF LIABILITY

Except for liability arising from fraud, willful misconduct, or breach of confidentiality, neither Party shall be liable to the other for consequential, incidental, special or punitive damages, and each Party's aggregate liability under this Agreement shall be limited to the total referral fees actually paid to Referring Agent during the twelve (12) months preceding the event giving rise to the claim.

15. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the Parties at the addresses set forth below (or such other address as a Party may designate by notice):

16. AMENDMENTS; WAIVER

No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties. The failure of either Party to enforce any right shall not be deemed a waiver of such right or any other right.

17. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction where Broker maintains its principal place of business, without regard to conflict of law principles. The Parties consent to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising under this Agreement.

18. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

19. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the Parties shall negotiate in good faith to replace the invalid provision with a valid provision that effects the original intent of the Parties as closely as possible.

20. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding.

What the Real Estate Referring Agent Agreement Covers

A Real Estate Referring Agent Agreement is a contract between a referring agent and a receiving broker or agent that documents the referral of a potential buyer, seller, or renter. The agreement explains the referral scope, identifies the client and property, sets the referral fee or commission split, defines payment timing and routing, and records any duties or limitations on marketing or contact. It creates evidence of intent, consent to payment terms, confidentiality expectations, and dispute-resolution procedures relevant to closing and post-closing accounting.

Why a Written Referral Agreement Matters

A written agreement clarifies compensation, avoids disputes, and documents the referral trail for tax reporting and broker compliance.

Why a Written Referral Agreement Matters

Who Typically Uses a Referring Agent Agreement

This agreement is used by individuals and firms who generate leads or introduce clients to licensed brokerage services.

  • Independent referring agents — individuals or teams that source buyers or sellers and need a formal commission promise.
  • Brokerages — to record accepted referrals, routing of funds, and whether fees are paid through the broker of record.
  • Property managers and leasing agents — to document referrals that lead to lease signings and associated referral fees.

Use a written agreement whenever a referral may lead to a commission, when client identity or property specifics matter, or when state licensing rules require written documentation.

Step-by-step: Filling and Finalizing the Agreement

Follow a consistent sequence to reduce errors: verify parties, confirm property and fee, sign, and distribute executed copies.

  • 01
Verify Parties: Confirm legal names, license numbers, and broker of record before populating the form.
  • 02
Specify Referral: Describe the client, property, and scope so the referral links directly to a closing file.
  • 03
Agree Payment Terms: Set fee amount, who pays, whether payment passes through broker, and timing triggers for payment.
  • 04
Execute and Archive: Have all parties sign, distribute copies, and retain for tax and compliance purposes.

How to Set Up an Online Referral Agreement Workflow

Configure a template, assign signer roles, and enable notifications so each referral follows the same approval path.

Field Configuration
Template Create reusable template with required fields pre-placed
Signer Order Set role sequence: referring agent → broker → receiving agent
Authentication Enable email or SMS code signer verification
Storage Auto-save completed PDF to cloud or CRM

Where to Send the Agreement After Signing

Route executed copies to all parties and to any systems used for accounting, compliance, or closing.

  • To the Broker: Send final agreement to the broker of record for payment routing and file retention.
  • To the Receiving Agent: Provide a signed copy to the agent receiving the referral for their closing file.
  • To Accounting: Forward to accounts payable for tracking and payment scheduling.
  • To Closing/Title: Include agreement in the closing file if payment is conditioned on closing.

Digital Signing and Integration Considerations

Choose a platform that supports reliable audit trails, common integrations, and appropriate signer authentication.

  • Integrations: Salesforce, NetSuite, Google Workspace supported
  • Document Types: PDF, DOCX, and standard templates
  • Authentication: Email, SMS, or advanced options available

Common Timelines and Processing Expectations

Key dates help avoid missed payments and tax reporting obligations; document them in the agreement and set reminders.

Effective Date Entry:

Date the agreement when parties first consent; governs performance timing.

Referral Acceptance:

Specify any deadline for the receiving broker to accept or reject the referral.

Payment Timing:

State payment due date (for example, within 30 days of closing) to avoid disputes.

Tax Reporting Deadline:

1099-NEC to recipient and IRS is due Jan 31 each year (tax deadlines apply).

Record Retention:

Retain executed agreements according to retention policy and legal obligations.

Common Mistakes to Avoid

  • Using informal email confirmations instead of a signed agreement risks disputes over payment and scope.
  • Failing to match legal names or TINs can trigger backup withholding or tax-reporting delays.
  • Vague fee language such as 'reasonable split' leaves room for interpretation and collection disputes.
  • Not routing payment through the broker of record when required by state license rules can violate brokerage policies.

Penalties and Legal Risks to Watch For

Tax Penalties: Potential IRC §6721 penalties for incorrect filings
Backup Withholding: 24% backup withholding if TIN is missing or incorrect
Breach Claims: Unclear terms can trigger breach-of-contract litigation
License Violations: Improper payment routing may violate state broker rules
Nonpayment Risk: No agreement can make collection costly and uncertain
Reputational Risk: Disputes may harm broker-agent relationships

Essential Clauses to Include in a Professional Agreement

A thorough agreement reduces ambiguity and aligns expectations about payment, timing, and responsibilities between referring parties.

Parties

Identify full legal names, license numbers, and broker of record for both the referring agent and receiving broker or agent.

Referral Description

Describe the referred client, property, or lead source and include identifying details tying the referral to a specific transaction.

Compensation

State fixed amount or percentage, calculation basis (gross or net commission), and any contingencies such as required closing.

Payment Routing

Specify whether fee is payable via the receiving broker, escrow, or directly and include payment timing triggers.

Term and Termination

Define agreement duration, events that terminate referral rights, and how open leads are treated after termination.

Signatures & Authentication

Require dated signatures from all parties and record the signing method (electronic or wet signature) and authentication used.

Who Signs This Agreement

Referring Agent

An individual or team that locates prospective clients and refers them to a licensed broker. The referring agent signs to establish entitlement to a referral fee and to confirm client introduction details and consent to any data-sharing terms.

Receiving Broker

The licensed broker or brokerage accepting the referral signs to confirm receipt, agree to payment terms, and commit to routing compensation per brokerage policy and applicable licensing regulations.

Real-world Examples and Platform Outcomes

These short examples show how firms and agents document referrals and use eSignatures to speed processing.

Martin Properties (Real Estate)

Martin Properties standardized referral agreements to capture consistent referral data and approvals.

  • Used online execution and audit trails to confirm signers and dates.
  • "I can process and execute all of these documents online with 100% compliance and built-in security," enabling faster payment routing and better recordkeeping.

Optica Ventures (Brokerage)

Optica implemented a template to ensure every referral lists broker of record and payment trigger.

  • The template reduced manual errors and missing fields.
  • "The interface is simple and easy-to-use for our team; more importantly, it is just as easy for our customers," which improved on-time payments and tax reporting accuracy.

Practical Tips for Accurate and Efficient Agreements

Adopt consistent templates and document-handling rules to reduce errors and speed payment.

Use a Single Standard Template
A controlled template ensures required fields are always completed, reduces negotiation time, and supports consistent audit trails for compliance and tax reporting.
Require Broker Acknowledgement
Have the broker of record sign or acknowledge the referral to ensure payment routing complies with brokerage and state license rules.
Record Payment Triggers
Specify whether payment is due on closing, receipt of funds, or another objective event to avoid post-closing disputes.
Keep an Audit Trail
Retain signed copies, authentication logs, and any correspondence that documents intent to sign and consent to electronic records.
