What a Real Estate Referring Agent Contract Is and When It Applies

A Real Estate Referring Agent Contract documents the relationship between a referring agent and a listing or buyer broker, clarifying the referral fee, conditions for payment, required disclosures, and the scope of the referring agent's role. It establishes who introduced the client, how compensation is calculated and paid, and any contingencies such as client retention, closing, or financing. The agreement protects all parties by reducing ambiguity about commissions, timelines, and responsibilities, and it can be executed electronically when parties meet ESIGN and UETA requirements.

Why a Clear Referring Agent Contract Matters

Use a written agreement to avoid disputes over referral fees, to document consent to payment terms, and to create a clear audit trail for accounting and tax reporting purposes.

Why a Clear Referring Agent Contract Matters

Who Typically Uses a Referring Agent Contract

This contract is used by agents and brokerages whenever a referral generates a potential client for another licensed agent or firm.

  • Independent referring agents and solo brokers who send leads to listing or buyer agents.
  • Brokerage offices that track and distribute referral fees across teams or affiliated agents.
  • Transaction coordinators and compliance staff who document fee flows for audits and tax reporting.

Clear roles reduce payment disputes and support accurate reporting for 1099 and commission reconciliations.

Primary Signers and Their Roles

Referring Agent

Licensed real estate agent or affiliated licensee who introduced the buyer or seller. The referring agent signs to confirm the referral, provide contact details, and agree to the stated fee and payment triggering events. Include license number and broker affiliation.

Receiving Broker

Buyer or listing broker who accepts the referral and agrees to pay the specified referral fee upon fulfillment of the conditions. The receiving broker signs to accept responsibility for payment and to confirm handling instructions for client onboarding and commission disbursement.

Core Clauses to Include in a Professional Contract

A robust Referring Agent Contract contains six primary clauses that define payment, timing, and legal protections so both parties understand obligations and remedies.

Referral Description

Identify the client by name and contact details, state the property or transaction referenced, and describe how and when the referral was made.

Referral Fee

Specify fee type (flat fee or percentage), exact amount or percentage, and any adjustments for split commissions or refunds.

Payment Conditions

State the event that triggers payment (e.g., executed purchase agreement, closing, funding) and payment timing after the trigger.

Term and Expiration

Set the agreement effective date, expiration date, and conditions under which the referral remains valid or is cancelled.

Representations

Confirm licensing, authorization to refer, disclosure obligations, and that the referral does not violate any exclusive brokerage agreements.

Dispute Resolution

Include governing law, venue, and whether disputes go to mediation or arbitration to reduce litigation costs.

Unlicensed Activity: Regulatory fines or discipline
Breach Claims: Civil liability for nonpayment
Recordkeeping Failures: Audit penalties or evidence issues
Invalid Signature: Payment disputes if e-sign doesn’t meet ESIGN tests

Common Mistakes to Avoid

  • Failing to record the effective date or termination date, which creates ambiguity about when the referral is valid and can affect statute of limitations.
  • Listing an unclear fee formula or failing to specify whether the fee is gross or net, causing disputes at settlement time.
  • Omitting broker or license numbers, which complicates verification and delays payment or tax reporting.
  • Not specifying the payment trigger (executed contract, closing, funding), leading to disagreement about when commissions are due.

Practical Tips for Accurate and Efficient Completion

Adopt consistent processes and templates to reduce errors and speed processing.

Use a Standard Template
Maintain a single vetted template for all referrals that includes required disclosures, governing law, and a clear fee formula to reduce review time and legal risk.
Collect Verifying Data
Record license numbers, broker names, and client contact info at the time of referral to enable rapid verification and avoid payment delays at closing.
Timestamp and Archive
Capture digital timestamps and store executed copies in a secure, access-controlled system to ensure retention compliance and produce records for audits.
Match to Commission Systems
Integrate the executed contract with your accounting or commission management system to automate 1099 preparation and payment scheduling.

Timelines, Deadlines, and Processing Expectations

Key calendar items affect when fees are paid and when reporting is required.

Payment Trigger Deadline:

Pay within the contract's specified period after the trigger event.

1099 Reporting:

Provide 1099-NEC to recipients by Jan 31 for payments classified as nonemployee compensation.

Record Retention:

Retain records at least three years for IRS purposes (IRC §6501(a)).

RON Records:

Retain remote notarization audio-video and journals per state rules, typically 5–10 years.

Dispute Window:

Define a contract notice period for fee disputes to promote timely resolution.
