7. Adjustments and Outgoings

Rates, taxes, water charges and body corporate levies (if any) will be adjusted on settlement on a daily basis and apportioned between Seller and Buyer as at the Settlement Date.

8. Default & Remedies

If either party fails to perform an obligation under this Contract, the non-defaulting party may give written notice specifying the breach and a reasonable period to remedy. If the breach is not remedied within the period stated, the non-defaulting party may elect to terminate this Contract or seek specific performance and damages. The parties acknowledge that a deposit forfeiture or claiming of damages are available remedies and are subject to the terms of this Contract and applicable law.

If the sale is a taxable supply for goods and services tax (GST) purposes, the Purchase Price is exclusive of GST. The Buyer must pay any GST in addition to the Purchase Price where required by law. Any adjustment for GST will be made at settlement in accordance with GST law and this Contract.

Risk in the Property passes to the Buyer on the Possession Date. The Seller must insure the Property until possession passes, and must not cancel or alter material insurance affecting the Property prior to settlement without the Buyer's consent.

Each party warrants that it has the power and authority to enter into this Contract. The Seller warrants that there are no undisclosed encumbrances, notices or orders affecting the Property other than those disclosed in writing to the Buyer prior to signing.

12. Governing Law & Entire Agreement

This Contract is governed by the laws of the State of Queensland. The parties submit to the non-exclusive jurisdiction of the courts of that State. This Contract constitutes the entire agreement between the parties in relation to the sale and purchase of the Property and supersedes all prior negotiations and agreements.
