What a Real Estate Relationship Agreement Covers

A Real Estate Relationship Agreement is a written contract that defines the legal relationship between real estate professionals and their clients, including scope of services, duties, compensation, term, exclusivity, and disclosure obligations. Common forms include listing agreements, buyer representation agreements, and property management contracts. These agreements allocate rights and responsibilities during marketing, offer negotiation, escrow, and closing. When executed electronically they must meet the legal tests under federal and state law; many firms use secure eSignature platforms such as signNow to collect compliant signatures and preserve an immutable audit trail.

Why a Clear Relationship Agreement Matters

A signed agreement reduces disputes, clarifies commission and termination terms, and documents required disclosures. Using an auditable electronic workflow helps demonstrate consent, attribution, and retention consistent with ESIGN and UETA.

Why a Clear Relationship Agreement Matters

Who typically completes a Real Estate Relationship Agreement

The agreement is used by a range of parties in residential and commercial transactions; parties vary by role and transaction phase.

  • Real estate brokers and agents — Create and manage listing or buyer representation agreements, track commission splits and referral arrangements.
  • Property managers and landlords — Use for management appointments, rent collection authority, maintenance responsibilities and fee schedules.
  • Buyers, sellers and investors — Establish duties, exclusivity periods, disclosure expectations, and who may bind the client in offers.

Choosing the correct signer profile and authentication level reduces later challenges and supports enforceability.

Key signers and their roles

Listing Broker

A licensed broker or brokerage firm that lists property, markets it, negotiates offers, and invoices commissions. The broker must be authorized to bind the brokerage and to receive compensation consistent with state licensing rules.

Property Owner

The individual or legal entity that owns the property and grants authority to the broker or manager. If an entity is signer, provide the officer name and title to match corporate records.

Core elements every professional agreement should include

A complete Real Estate Relationship Agreement combines legal terms, operational details, and signature mechanics so parties understand duties, timing, and remedies.

Parties & Roles

Identify full legal names and legal status (individual, LLC, corporation) for each party, and specify who acts with signing authority on behalf of any entity.

Scope of Services

Describe specific brokerage or management services—marketing, showings, tenant screening, rent collection, escrow coordination—and any exclusions or third‑party responsibilities.

Compensation

State commission percentage or flat fees, when fees are earned, responsibility for closing and referral splits, and how fees are paid and reported for tax purposes.

Term & Termination

Specify the contract start and end dates, automatic renewals if any, termination notice periods, and obligations that survive termination such as commission protections.

Disclosures & Compliance

Include required state disclosures, lead paint and property condition statements, agency disclosure language, and any HIPAA or privacy addenda when applicable.

Signatures & Notarization

Set out signing blocks, required witness or notary acknowledgements, acceptable signature methods (electronic or in-person), and any RON provisions.

Step-by-step: executing a Real Estate Relationship Agreement

Follow these sequential steps to prepare, sign, and store a legally robust agreement using an electronic workflow.

  • 01
Prepare document: Populate party names, property data, compensation and disclosure language.
  • 02
Verify identity: Confirm signer identity and authority; request ID or corporate resolution when needed.
  • 03
Place signature fields: Add signature, date, and initial fields; include notary or witness blocks if required.
  • 04
Send for signature: Route via email or secure link and capture the audit trail on completion.

Typical eSigning workflow for the agreement

This workflow describes the end-to-end online signing process for a Real Estate Relationship Agreement.

  • Upload document: Add your contract as PDF or DOCX and confirm formatting and page order.
  • Add fields: Place signature, date, initials, and optional conditional fields for variable clauses.
  • Assign signers: Enter signer emails and set signing order or parallel signing as needed.
  • Track and finalize: Monitor completion, collect final copies, and export audit reports for records.

Recommended platform settings for real estate workflows

Configure your eSignature platform to balance signer convenience with authentication and recordkeeping requirements.

Field Configuration
Signature authentication Email plus optional SMS code or government ID verification
Notary support Enable RON or include instructions for in-person notarization
Templates Create reusable listing and management templates with locked clauses
Notifications Automatic reminders and one-time-expiry signing links

Delivery channels and integrations to consider

Select distribution and integration options that match your CRM, accounting, and document storage systems.

  • Integrations: Salesforce, NetSuite, Microsoft 365 and Google Workspace reduce duplicate entry
  • File formats: PDF and DOCX preserve formatting and are widely accepted
  • Authentication: Email, SMS codes, and higher‑assurance KBA where required

Common timeframes and deadlines to include

Capture contract dates and calendar events explicitly to avoid disputes about eligibility and commission entitlement.

Agreement effective date:

Document the MM/DD/YYYY effective date used to compute term and notice deadlines.

Listing period end:

Specify when the listing or representation terminates and whether it renews automatically.

Notice to terminate:

State required notice period in days for unilateral termination.

Commission entitlement date:

Tie entitlement to closing, accepted contract date, or buyer readiness as defined in the agreement.

Tax documentation timing:

Provide W-9 when requested; report payments on 1099-NEC per IRS timing rules.

Key processing milestones from signing to closing

Track milestone events so responsibilities, approvals, and payments occur in the correct order.

01

Execution

All parties sign and dating is completed; any required notary or witness steps are performed.

02

Listing active

Property marketed and offers accepted according to specified terms.

03

Offer and acceptance

Negotiation completes and binding contract is in place subject to contingencies.

04

Closing and payout

Escrow closes, commissions paid, and final records archived with retained audit trail.

Common mistakes to avoid when preparing the agreement

  • Mismatched names or titles — Using nicknames or incomplete legal names leads to payment, tax, and enforceability problems with banks and escrow.
  • Missing effective dates — Omitting the effective date creates ambiguity about term, notice periods, and commission entitlement.
  • Unclear compensation language — Vague phrases like "market rate" can produce disputes; state exact percentages or trigger conditions.
  • Skipping required disclosures — Failing to include state or federal disclosures can invalidate parts of the agreement and trigger regulatory penalties.

Consequences of errors or incomplete execution

Invalid signature: May void agreement
Missing disclosure: Regulatory fines possible
Wrong signatory: Contracts unenforceable
Improper notarization: Creates title or recording issues
Commission disputes: Leads to litigation or arbitration
Tax reporting errors: Triggers IRS penalties

Optica Ventures (Brian Fitzgibbons)
