If Seller fails to perform obligations under this Relist Package, Broker may, after written notice and reasonable opportunity to cure, terminate the listing and pursue remedies available at law or equity, including collection of agreed commission where applicable. If Broker materially breaches duties set forth herein, Seller may terminate this agreement and pursue remedies for breach.

BROKER PROTECTION & COMMISSION PROVISIONS

Protection Period: If a ready, willing and able buyer procured by Broker executes a purchase agreement within days after expiration or termination, Seller remains obligated to pay the commission described above, unless otherwise agreed in writing.

Commission shall be earned upon Seller's execution of a binding purchase contract, or upon closing if otherwise specified in a signed purchase contract. Seller authorizes Broker to cooperate and compensate cooperating brokers as set forth above.

INDEMNIFICATION & INSURANCE

Seller agrees to indemnify, defend and hold Broker harmless from claims, costs, or liabilities arising from Seller's misrepresentations, failure to disclose material facts, or breach of this Relist Package. Broker shall carry errors and omissions insurance customary for the brokerage trade; such insurance does not limit Seller's obligations hereunder.

GOVERNING LAW & ENTIRE AGREEMENT

This Relist Package shall be governed by the laws of the state of . This document, together with any attached addenda executed by the parties, constitutes the entire agreement between Seller and Broker concerning the subject matter herein and supersedes prior oral or written agreements unless expressly incorporated in writing.
