Indemnification; Liability

Owner shall indemnify, defend and hold Agent harmless from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Owner's breach of any representation, warranty or covenant contained in this Authority or from acts or omissions of Owner. Agent shall act in good faith and in a commercially reasonable manner. Agent shall not be liable to Owner for actions taken in accordance with the express terms of this Authority, except for gross negligence or willful misconduct.

Notices

Termination; Revocation

This Authority shall terminate upon the earliest of: (a) the Expiration Date set forth above; (b) written revocation by Owner delivered in accordance with the Notices provision; or (c) mutual written agreement of Owner and Agent. Termination shall not affect any renewal or amendment executed by Agent in good faith prior to actual receipt of notice of termination.

Governing Law; Entire Agreement

This Authority shall be governed by and construed in accordance with the laws of the state identified below, without regard to conflict of law principles. This instrument constitutes the entire agreement between Owner and Agent with respect to the matters contained herein and supersedes all prior agreements and understandings, oral or written, with respect to such matters. No amendment or waiver shall be effective except in a written instrument signed by both parties.
