Default by Tenant for failure to pay rent or breach of a material obligation entitles Landlord to exercise all remedies available at law or in equity, including termination of the renewed term, recovery of possession, and recovery of damages and reasonable attorneys' fees. Prior to termination for nonpayment, Landlord may provide the notice required by applicable law. Landlord's acceptance of late rent shall not waive future defaults.

Tenant's failure to perform maintenance or repairs required by this proposal permits Landlord to cure after notice and charge Tenant for costs. Charges for repairs not arising from ordinary wear and tear shall be payable by Tenant on demand and may be deducted from any security deposit consistent with applicable law.

Miscellaneous Provisions

Governing Law: The validity, interpretation and enforcement of this Renewal Proposal shall be governed by the laws of the state or jurisdiction where the Property is located. Parties agree that any action arising from this Proposal shall be brought in the appropriate court of that jurisdiction.

Entire Agreement & Amendment: This Proposal, if accepted and executed by both parties, constitutes the entire agreement between the parties with respect to the matters contained herein and supersedes prior oral or written discussions. Any modification must be in writing and signed by both parties.

Binding Effect; Assignment: This Proposal, upon execution, shall be binding upon and inure to the benefit of the parties and their permitted successors and assigns. Tenant may not assign the tenancy or sublet the Property except with Landlord's prior written consent, which shall not be unreasonably withheld.
