Title, Conveyance and Condition

Seller agrees to convey marketable title at closing by general warranty deed (or equivalent) free of any liens or encumbrances except as disclosed in writing. Title shall be examined and a title commitment provided no later than days after Effective Date.

Default, Remedies and Repurchase Obligation

If either party fails to perform any material obligation under this Agreement, the non-defaulting party shall provide written notice specifying the default and a reasonable cure period of days. If the default is not cured within the cure period, the non-defaulting party may elect specific performance, monetary damages, or termination as permitted by law. In the event of Seller default at closing, Seller shall be obligated to repurchase the Property at the Agreed Repurchase Price within days of notice, subject to escrow adjustments.

Indemnity, Insurance and Risk of Loss

From Effective Date until possession, Seller shall maintain hazard insurance covering risk of loss, and shall indemnify Repurchaser against claims arising from Seller's acts or omissions. Risk of loss remains with Seller until closing, unless otherwise agreed in writing.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates by written notice. Notices by email shall be effective upon sender's proof of transmission where receipt is not disputed by recipient.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of . This Agreement, together with escrow instructions and any exhibits, constitutes the entire agreement between the parties and may be amended only by a written instrument signed by both parties.

Miscellaneous Provisions

Time is of the essence for all dates and deadlines contained in this Agreement. No waiver of any breach will be effective unless in writing and signed by the waiving party. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
