Binding Effect; Remedies; Forfeiture

Upon Seller's written acceptance of this Reservation Form, Seller shall be obligated to withdraw the Property from active marketing and negotiate in good faith exclusively with Buyer for the Reservation Period. This Reservation Form is an agreement to reserve the Property and is not, by itself, a conveyance of the Property.

If Buyer and Seller execute a mutually acceptable purchase agreement prior to expiration of the Reservation Period, the Reservation Deposit shall be applied as set forth above. If Buyer fails to execute the purchase agreement within the Reservation Period for reasons other than Seller's default or failure to perform, the Reservation Deposit shall be as liquidated damages, unless otherwise agreed in writing.

Seller's remedies for Buyer default include retention of the Reservation Deposit, specific performance, or other remedies available at law or equity. Buyer acknowledges Reservation Deposit is not a full earnest money amount unless otherwise agreed in a later purchase agreement.

Escrow and Handling of Funds

Reservation Deposit shall be held by the escrow/title agent identified above, subject to the escrow instructions agreed at the time of deposit. The parties authorize the escrow agent to disburse or apply the deposit only upon written mutual instructions or as required by a court order.

Entire Agreement: This Reservation Form, when executed by both parties, constitutes the entire agreement between Buyer and Seller with respect to the subject matter hereof and supersedes all prior negotiations and understandings. Any amendment must be in writing and signed by both parties.

Governing Law: This Reservation Form shall be governed by and construed in accordance with the laws of the state in which the Property is located.

Notices: Any notice required under this Reservation Form must be in writing and delivered to the contact addresses provided above by hand, nationally recognized overnight courier, or certified mail, return receipt requested.

By signing below, Buyer acknowledges payment of the Reservation Deposit under the terms set forth herein and acknowledges understanding that this Reservation Form creates binding obligations described herein.
