What a Real Estate Retainer Agreement Covers

A Real Estate Retainer Agreement is a written contract between a client and a real estate professional that sets out the scope of services, fee structure, retainer amount, billing terms, and the parties' obligations. It establishes expectations for representation, describes deliverables such as listing or buyer services, and explains how funds held in trust will be handled. The agreement helps prevent disputes by documenting authority to act, termination rights, dispute-resolution mechanisms, and the governing state law that will apply to the relationship.

Why documenting a retainer matters

A written retainer creates clarity on fees, scope, and authority and reduces later disputes by capturing consent and payment terms in one place.

Why documenting a retainer matters

Typical users and signers

Real estate brokers, agents, property managers, and their clients commonly use retainer agreements to formalize a working relationship.

  • Real estate brokers and firms that manage client funds, approvals, and listing authority.
  • Buyers and sellers who want clear fee, exclusivity, and termination terms before engagement.
  • Property managers and investors who require ongoing services and monthly billing arrangements.

The document also serves as a record for accounting, trust accounting, and regulatory compliance when disputes or audits arise.

Core elements to include in a professional retainer

A robust retainer agreement is concise but specific, covering fees, term, scope, client obligations, and dispute resolution to reduce ambiguity.

Parties

Full legal names and business entity types of the client and the firm, including contact and mailing addresses for notices.

Scope

A precise description of services to be provided: listing, buyer representation, leasing, property management tasks, and any exclusions.

Retainer Fee

Amount, whether refundable, how it will be applied to invoices, and treatment of trust or escrow funds held on the client's behalf.

Billing

When invoices will be issued, accepted payment methods, late fee rates, and whether time is billed in increments.

Term & Termination

Agreement start date, automatic renewal (if any), notice periods for termination, and obligations on termination.

Governing Law

Specify the state law that governs interpretation, plus any arbitration or venue selections for dispute resolution.

Key administrative and compliance data points

Where to send or file the completed agreement

After signatures, route copies to internal and client records, trust accounting, and any third-party stakeholders per firm policy.

  • Client copy: Send signed PDF to the client's email address
  • Firm records: Store in secure cloud or internal document system
  • Trust accounting: Deposit retainer funds into required trust account

Timelines, notice periods, and processing expectations

Billing cycle:

Specify monthly or milestone billing and invoice due dates

Renewal notice:

State required advance notice for nonrenewal or rate changes

Termination notice:

Require written notice period, commonly 30 days

Dispute period:

Identify timeframe for fee disputes and cure periods

Common mistakes to avoid when preparing a retainer

  • Vague scope language that omits exclusions, leading to billing disputes and scope creep during representation.
  • Using informal or partial names for parties, which complicates enforcement and trust account reconciliation during audits.
  • Failing to specify whether the retainer is refundable or how it will be applied against future invoices.
  • Skipping a governing law clause or venue provision, which increases litigation uncertainty if disputes arise across state lines.

Potential consequences of an incomplete or incorrect retainer

Fee disputes: Delayed collection or refund obligations
Regulatory fines: Trust accounting violations may trigger sanctions
Civil liability: Breach claims or malpractice exposure
Tax issues: Misreported income or withholding errors
Contract voiding: Ambiguity can render clauses unenforceable
Reputational harm: Client complaints and licensing scrutiny
