Indemnity: Organizer shall indemnify, defend and hold Host harmless from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Organizer's use of the Property, including acts or omissions of attendees, invitees, contractors and agents.

Limitation of Liability: Except for gross negligence or willful misconduct, Host's liability for any claim related to this Agreement shall be limited to actual direct damages and in no event shall Host be liable for special, incidental or consequential damages.

8. Default, Remedies and Termination

Default: A material breach by Organizer, including nonpayment or violation of use restrictions, shall constitute default. Host may terminate this Agreement and remove Organizer and attendees from the Property if Organizer fails to cure a material breach within the time period stated herein or immediately for safety-related breaches.

Remedies: In addition to terminating this Agreement, Host is entitled to recover all damages, costs, and reasonable attorneys' fees incurred as a result of Organizer's breach. Security deposit may be applied to unpaid fees, repairs or cleaning; any balance shall be returned to Organizer within days after checkout together with an itemized statement of deductions.

9. Miscellaneous Provisions

Force Majeure: Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including natural disasters, government orders, or public health emergencies; however payment obligations for periods already elapsed remain due unless otherwise agreed in writing.

Assignment: Organizer may not assign or sublicense rights under this Agreement without Host's prior written consent. Host may assign its rights subject to providing notice to Organizer.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. Venue for disputes shall lie in the state and county where the Property is situated.

Entire Agreement: This document constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, proposals and representations. No amendment shall be effective unless in writing and signed by both parties.
