REAL ESTATE RIDER

This Real Estate Rider amends and supplements the terms of the Purchase Agreement dated between the parties named below. All capitalized terms used herein shall have the meanings given in the Agreement unless expressly defined in this Rider.

PARTIES AND PROPERTY

MODIFICATIONS TO AGREEMENT

The Agreement is modified as follows. In the event of any conflict between the terms of this Rider and the Agreement, the terms of this Rider shall control to the extent of the conflict.

1. Earnest Money and Deposit

Earnest money shall be increased to $ payable as follows: deposit delivered to escrow within days after mutual execution of the Agreement.

2. Inspection Contingency

Buyer shall have a day inspection period commencing upon delivery of keys or access. Buyer may, at Buyer's expense, obtain any inspections Buyer deems necessary. If Buyer objects in writing to unsatisfactory conditions within the inspection period, Seller shall have days to accept or propose corrective action. If the parties cannot agree, either party may terminate the Agreement in accordance with the Agreement's termination provisions.

3. Financing Contingency

This Agreement is Yes No a financing contingency. If yes, Buyer shall apply for loan approval within days and use diligent efforts to obtain financing. Loan commitment must be delivered to Seller no later than .

4. Title and Survey

Seller shall deliver marketable title subject only to those exceptions accepted by Buyer in writing. Buyer may object to recorded title exceptions within days after receipt of title report. If Seller fails to timely cure title objections, Buyer may elect to accept title as is, accept a credit at closing, or terminate the Agreement.

5. Closing, Possession and Prorations

Closing shall occur on or before unless extended by mutual written agreement. Possession shall be delivered to Buyer upon recording of the deed unless otherwise agreed in writing.

Real estate taxes, rents, insurance premiums and other customary items shall be prorated as of the date of closing. Closing costs shall be allocated in accordance with the Agreement except as modified in this Rider.

6. Risk of Loss

Risk of loss to the Property between the Effective Date and closing shall be borne by Seller. If the Property is materially damaged prior to closing, Buyer may (a) accept a credit, (b) terminate the Agreement and receive a refund of deposits, or (c) proceed to closing if Seller repairs damage prior to closing as agreed in writing.

7. Repairs, Warranties and Seller Obligations

Any repairs agreed to by Seller shall be completed by Seller or Seller's contractor at Seller's expense prior to closing, unless otherwise agreed. Seller represents that, to Seller's knowledge, there are no material structural defects other than those disclosed in writing to Buyer.

9. Default and Remedies

The default and remedy provisions of the Agreement shall apply except as modified herein. In addition to other remedies, Seller may retain or pursue forfeiture of earnest money as liquidated damages if Buyer defaults after removal of contingencies. Monetary damages shall be recoverable according to applicable law.

10. Notices

Notices required by this Rider shall be delivered in the manner specified in the Agreement, and shall be sent to the addresses set forth below or to any updated address delivered in writing.

11. Governing Law; Venue

This Rider and the Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. Any litigation arising out of this Rider shall be brought in the courts of the county in which the Property is located.

12. Entire Agreement; Integration

This Rider, together with the Agreement and any other attached addenda, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings between the parties. No modification shall be effective unless in writing and signed by both parties.

13. Special Conditions

The parties acknowledge that they have read this Rider, understand its terms, and agree that it shall be binding upon execution by both Buyer and Seller.
