This Real Estate Rider or set of Riders is made part of and incorporated by reference into the Purchase Agreement dated between the parties identified below concerning the property described in this document. If a conflict exists between the terms of this Rider and the referenced Purchase Agreement, the Rider controls as to the specific subject addressed herein.

Buyer shall use good faith efforts to obtain a commitment for the financing described above. If Buyer fails to obtain financing and timely remove the contingency, Seller may retain earnest money or exercise remedies under the Agreement. Any lender-required repairs or conditions shall be the responsibility of the party specified in the Purchase Agreement except as modified in a written addendum.

Default; Remedies; Additional Provisions

Default by either party under this Rider shall constitute default under the referenced Purchase Agreement. Remedies for breach shall be the remedies specified in the Purchase Agreement, including specific performance where permitted by law, and the recovery of reasonable costs and attorneys’ fees incurred by the prevailing party to enforce this Rider.

Time is of the essence with respect to all dates and deadlines set forth in this Rider. All deadlines expire at 5:00 p.m. on the applicable date unless otherwise specified in writing.

Entire Agreement: This Rider and the referenced Purchase Agreement constitute the entire agreement between the parties with respect to the subjects addressed herein. Any modification must be in writing and executed by both Buyer and Seller.

Governing Law: This Rider shall be governed by and construed in accordance with the laws of the jurisdiction specified in the Purchase Agreement or, if none specified, the state where the property is located.

Certifications & Warnings

Each party certifies that the information provided in this Rider is true and correct to the best of their knowledge and that they have the authority to execute this Rider. Failure to disclose material facts may give rise to legal remedies including rescission, damages, or other relief.

Seller affirms that all known material defects, environmental conditions, and information required by law to be disclosed have been provided to Buyer, except as expressly noted in writing in this Rider.
