For good and valuable consideration, receipt of which is acknowledged, Holder hereby WAIVES the Holder's right of first refusal, right of first offer or similar preferential purchase right arising under the ROFR Agreement with respect to:

Consideration

1. Scope of Waiver. The waiver provided in this instrument applies only to the right specified herein and only to the extent described and shall not be construed as a release, assignment or modification of any other rights or obligations under the ROFR Agreement except as expressly stated.

2. Conditions. This waiver is conditioned upon Owner's adherence to the terms of the Proposed Transaction described above (including price and closing date) and upon Owner delivering to Holder any documents reasonably necessary to evidence the Proposed Transaction. If the Proposed Transaction materially changes, Holder's waiver will be void unless Holder executes a further written waiver.

Representations and Warranties

Each party represents and warrants that: (a) it has full power and authority to execute and deliver this Waiver and to perform its obligations hereunder; (b) the person signing on behalf of each party is duly authorized to bind that party; and (c) this Waiver constitutes a legal, valid and binding obligation enforceable in accordance with its terms, subject to applicable bankruptcy, insolvency, or similar laws affecting creditors' rights generally.

Default; Remedies

In the event of breach of this Waiver, the non-breaching party shall be entitled to any remedy available at law or equity including injunctive relief to enforce the waiver or to prevent an improper exercise of rights under the ROFR Agreement. No waiver of a breach shall constitute a waiver of any subsequent breach.

Notices

All notices required or permitted by this Waiver shall be in writing and shall be delivered in accordance with the notice addresses set forth above or to such other address as a party may designate by notice in accordance with this section.

Binding Effect; Assignment; Governing Law

This Waiver shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Neither party may assign its rights or obligations under this Waiver without the prior written consent of the other, except that Owner may assign to a purchaser of the Property. This Waiver shall be governed by and construed in accordance with the laws of the state in which the Property is located without regard to conflict of laws principles.

Entire Agreement; Counterparts

This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. This Waiver may be executed in two or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be binding.
