If Buyer fails to timely perform, Seller may retain the earnest money as liquidated damages or pursue actual damages and specific performance where permitted. If Seller fails to convey good title on or before the closing date, Buyer may seek specific performance or elect to terminate and receive return of earnest money. Exercise of any remedy does not preclude others unless expressly stated.

Governing Law: This Acknowledgement and any dispute arising hereunder shall be governed by the substantive laws of the state where the Property is located, without regard to conflict-of-law principles.

Entire Agreement: This document, together with any separately executed purchase agreement and seller disclosures expressly incorporated herein, contains the entire agreement of the parties with respect to the subject matter and supersedes prior oral or written agreements.
