The Seller hereby appoints the Agent as the Seller's exclusive agent to market and sell the Property on the following terms. This Agreement becomes effective on and shall continue until unless earlier terminated in accordance with this Agreement.

Commission becomes earned and payable upon any of the following events: (a) closing of a sale of the Property; (b) execution of a binding purchase agreement; or (c) procurement of a ready, willing and able buyer under the terms specified in this Agreement. Commission shall be payable notwithstanding termination of this Agreement if the sale results from the Agent's efforts or from a buyer introduced by the Agent within the protected period below.

Agent Duties; Seller Obligations

Agent shall use commercially reasonable efforts to market the Property, which may include placement on applicable listing services, advertising, conducting showings, coordinating inspections, and negotiating offers. Agent shall present all offers promptly to Seller. Agent is authorized to cooperate with buyer agents and to pay cooperating broker compensation as agreed.

Seller shall provide truthful and complete property information, permit reasonable showings, maintain the Property in substantially the same condition as at the Effective Date, and disclose known material facts affecting value or desirability of the Property.

Conflicts, Dual Agency, and Confidentiality

Agent shall disclose any potential conflict of interest, including relationships with prospective buyers. Seller acknowledges that Agent may represent both Seller and buyer only with the informed, written consent of both parties. Agent shall maintain confidentiality of Seller's confidential information except as required by law or as necessary to market the Property.

Protection Period; Post-Term Commissions

If, within days following termination of this Agreement, the Property is sold to a party introduced to the Property by the Agent during the term, Agent shall be entitled to the commission specified herein.

Termination; Remedies; Indemnity

This Agreement may be terminated by mutual written agreement or for material breach after written notice and a reasonable cure period. Seller agrees to indemnify and hold Agent harmless from claims, losses, or liabilities arising from Seller's misrepresentations or failure to disclose material facts. Remedies provided herein are cumulative and are in addition to any remedies available at law or in equity.

Governing Law; Entire Agreement; Amendment

This Agreement shall be governed by the laws of the state where the Property is located. This document constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements. Any amendment must be in writing and signed by both parties.

Notices

Notices shall be in writing and delivered to the addresses provided above or as later designated in writing. Notice is effective upon personal delivery, confirmed overnight courier delivery, or three days after deposit in the U.S. mail with postage prepaid.

Miscellaneous Provisions

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force. Headings are for convenience only and do not affect interpretation. Time is of the essence with respect to the performance of material obligations under this Agreement.
