What the Real Estate Sale and Purchase Draft Is

A Real Estate Sale and Purchase Draft is a preliminary written agreement that records the proposed terms for transferring real property between seller and buyer. It sets out the legal description of the property, purchase price, deposits and earnest money, financing contingencies, inspection and disclosure clauses, closing date, and title instructions. The draft frames negotiation points and becomes the basis for a final purchase contract or deed; in many transactions it is shared with title companies, lenders, and closing agents to prepare closing statements and recording documents.

Why a Clear Draft Matters for Transactions and Compliance

A precise Real Estate Sale and Purchase Draft reduces closing delays, aligns expectations, and supports enforceability. Properly documented terms protect parties, ease title review, and simplify lender underwriting while fitting within U.S. e-signature law frameworks such as ESIGN (15 U.S.C. ch. 96) and state UETA statutes.

Why a Clear Draft Matters for Transactions and Compliance

Who Typically Prepares and Reviews the Draft

Real estate brokers, attorneys, title officers, lenders, and buyers routinely prepare or review sale and purchase drafts before closing.

  • Listing brokers and agents prepare initial offers and coordinate seller disclosures during negotiations and contingencies.
  • Buyers and their agents review inspection and financing contingencies to ensure conditions for closing are met before deposit release.
  • Title companies and lenders verify legal descriptions, easements, liens, and payoff instructions to ready documents for recording.

Early involvement by title and lending parties reduces last-minute issues at closing and streamlines recording with the county recorder.

Core Sections to Include in a Professional Draft

A complete draft organizes transaction terms so each party and third party (title, lender, escrow) can act on them accurately and consistently.

Property

Full legal description and parcel identification; include address, survey references, and tax parcel ID to avoid recording errors and title issues.

Price

Purchase price, allocation of closing costs, deposit or earnest money amount, escrow instructions, and how adjustments are calculated at closing.

Contingencies

Inspection, financing, appraisal, and title objections with clear cure periods, removal procedures, and consequences for unmet contingencies.

Closing

Closing date, location, escrow agent, required deliverables, prorations for taxes and utilities, and procedures for extension or delay.

Title

Title commitment requirements, required endorsements, survey obligations, payoff instructions for existing liens, and indemnity language if needed.

Signatures

Signature blocks for all parties, authority statements for corporate or trustee signers, and acknowledgement of any required notarizations or witness attestations.

Essential Data Fields to Capture

Property ID: Parcel or legal description
Buyer Name: Full legal name
Seller Name: Full legal name
Purchase Price: Numeric dollar amount
Earnest Money: Deposit amount and payee
Closing Date: MM/DD/YYYY format

Step-by-Step: Completing the Sale and Purchase Draft

Follow these sequential steps to prepare a usable draft that parties can sign and forward to title and lender teams.

  • 01
Prepare Terms: Enter price, deposit, and key dates.
  • 02
Add Property Info: Include legal description and parcel ID.
  • 03
Insert Contingencies: Specify inspection and financing windows.
  • 04
Sign and Route: Collect signatures and send to title.

Setting Up an Online Completion Workflow

Configure a digital workflow so the draft moves securely through signing, review, and recording steps without manual handoffs.

Field Configuration
Document Format Use PDF/A for final signed copies
Authentication Email link, SMS code, or stronger KBA
Routing Order Set signer sequence for parties and title
Audit Capture Enable timestamps, IP, and certificate

Where to Send the Draft After Signing

After signatures, route copies to the parties who must act before closing or recording.

  • Title Company: Receives final draft for commitment and closing
  • Lender: Reviews financing conditions and docs
  • Escrow Agent: Prepares settlement statement and funds handling
  • County Recorder: Receives deed for post-closing recording

Technical Formats and Integrations to Consider

Select platforms that preserve audit trails, export signed PDFs, and integrate with title or closing systems.

  • File Types: PDF, DOCX accepted
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, KBA options

Ensure chosen tools meet record retention and security requirements for real estate files and can produce tamper-evident signed PDFs and robust audit logs for compliance.

Key Dates and Deadlines to Track

Real estate drafts include several dates that trigger actions; track each to avoid missed contingencies or closing delays.

Inspection Period Deadline:

Date by which buyer must complete inspections

Contingency Removal Date:

Buyer must remove or extend contingencies

Financing Commitment:

Lender commitment date for loan approval

Anticipated Closing Date:

Date scheduled for escrow closing

Recording Deadline:

Date deed must be recorded after closing

Common Mistakes That Slow Closings

  • Using an incomplete legal description or wrong parcel ID causes title exceptions and requires time-consuming corrections with surveyors and title examiners.
  • Mismatched party names between the draft, ID, and title commitment can trigger re-execution or require corrective affidavits at closing.
  • Absent or ambiguous contingency language leads to disputes about obligation timing and whether deposits are refundable under contract terms.
  • Failing to state proration methods or utility cutoff dates creates last-minute reconciliation issues on the settlement statement.

Risks and Consequences of Errors

Title Defects: Delayed recording
Missing Signatures: Potential invalidation
Incorrect Description: Requires corrective deed
Late Financing: Deal cancellation risk
Tax Reporting: Form 1099 reporting issues
No Notarization: Recording rejection
