REAL ESTATE SALE ASSIGNMENT

Property Identification

Recitals

WHEREAS, Assignor is a party to that certain Purchase Agreement dated (the "Purchase Agreement") between Assignor and Seller concerning the Property; and

WHEREAS, Assignor desires to assign and transfer to Assignee, and Assignee desires to accept, all of Assignor’s right, title and interest in and to the Purchase Agreement on the terms set forth in this Assignment.

Assignment

For good and valuable consideration, receipt of which is hereby acknowledged, Assignor hereby assigns, conveys and transfers to Assignee all of Assignor’s right, title and interest in and to the Purchase Agreement, including the right to pursue Closing and to receive and be credited with any earnest money or deposit held in escrow, subject to the terms and conditions of this Assignment.

Assumption of Obligations and Rights

Upon the Effective Date of this Assignment, Assignee shall assume and perform all duties, obligations and conditions of Assignor under the Purchase Agreement arising from and after the Effective Date, and shall be entitled to all rights and benefits of Assignor under the Purchase Agreement from and after the Effective Date. Representations and Warranties

Assignor represents and warrants that Assignor is the legal holder of the Purchase Agreement and has full authority to assign its rights, that the Purchase Agreement is in full force and effect, and that there are no defaults by Assignor under the Purchase Agreement except as disclosed in writing to Assignee.

Assignee represents that Assignee has the financial capacity and intent to perform the obligations under the Purchase Agreement and will comply with all terms and conditions required to close the transaction.

Indemnification; Release

Each party shall indemnify, defend and hold the other harmless from and against any losses, claims, damages or liabilities arising from that party’s breach of this Assignment or of the Purchase Agreement prior to the Effective Date. Assignor hereby releases Seller and Assignee from any claims Assignor may have arising solely from Assignor’s duties to close after the Effective Date, except for claims arising from material breaches by Assignee.

Seller Consent and Escrow

ASSIGNOR CERTIFIES that Assignor has sought any required consent from Seller and will promptly provide proof of such consent to Assignee. Seller consent obtained: Yes

All earnest money, deposits and escrowed funds that are assignable under the Purchase Agreement shall be transferred or re-designated at Closing in accordance with escrow instructions. The parties shall cooperate to provide any escrow or title company with a copy of this Assignment and any requested documentation.

Notices

Default; Remedies

In the event of a material breach of this Assignment by either party, the non-breaching party shall be entitled to pursue all remedies available at law or in equity, including specific performance, damages, and recovery of reasonable attorneys' fees and costs incurred in enforcing this Assignment.

Governing Law; Miscellaneous

This Assignment shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Assignment constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, oral or written. No amendment of this Assignment shall be effective except by a written instrument signed by both parties. This Assignment may be executed in counterparts, each of which shall be deemed an original.
