REAL ESTATE SALE ENGAGEMENT

Seller grants Broker the exclusive right to market and sell the Property during the Term. Exclusive Right to Sell:

Commission shall be payable as follows. Broker shall be entitled to the greater of: (a) a percentage of the gross sales price; or (b) a flat fee, as indicated below. Commission is earned when a binding contract for the sale of the Property is entered into by Seller and a purchaser procured by Broker or any cooperating broker, or when a sale results from Broker's efforts within the protection period described herein.

If Seller procures a purchaser without Broker's assistance during the Term, Seller shall notify Broker in writing and pay the commission as agreed above if the sale closes. Commission payable despite termination if Seller enters into a contract with a purchaser introduced to Seller by Broker within 90 days after termination.

Seller authorizes Broker to market the Property through customary channels, including but not limited to signage, photographs, electronic listings, and brokerage networks. Seller authorizes the following specific actions (check applicable):

Seller shall reimburse Broker for pre-approved out-of-pocket expenses incurred in marketing the Property upon presentation of invoices. Unapproved expenses require Seller's prior written consent.

Seller represents and warrants that Seller is the lawful owner of the Property, has full authority to enter this Agreement, and will provide truthful disclosures regarding the condition of the Property. Seller shall promptly deliver all material disclosures required by law.

8. Default; Remedies; Fees

If Seller breaches this Agreement, Broker's remedies shall include retention of any earnest money disbursed to Broker by agreement of the parties, recovery of the commission earned, and reasonable costs and attorneys' fees incurred in enforcing Broker's rights. If Broker breaches this Agreement, Seller's remedies shall be limited to actual damages and, where permitted, specific performance.

9. Confidentiality; Indemnification; Compliance

Broker shall maintain confidential offers and negotiations as required by law. Seller shall indemnify and hold Broker harmless from claims arising from Seller's misrepresentations, omissions in disclosures, or failure to deliver title, except to the extent caused by Broker's gross negligence or willful misconduct. Both parties shall comply with applicable fair housing and brokerage laws and regulations.

10. Protection Period; Successors

If, within 90 days after the Term, the Property is sold to a purchaser who was introduced to Seller by Broker during the Term, Seller remains obligated to pay the commission set forth in this Agreement. This Agreement binds and benefits the parties and their respective successors and assigns.

11. Entire Agreement; Governing Law; Dispute Resolution

This Agreement constitutes the entire understanding between the parties regarding the subject matter herein and supersedes prior discussions and agreements. This Agreement shall be governed by the laws of the state indicated below. Any dispute arising out of or relating to this Agreement shall first be submitted to non-binding mediation; if mediation fails, the parties may pursue legal remedies in the appropriate state or federal court.

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses below by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested.
