REAL ESTATE SALE ENGAGEMENT AGREEMENT

This Real Estate Sale Engagement Agreement ("Agreement") is entered into between the undersigned Seller and Broker, as of the Effective Date set forth below. The parties hereby agree to the terms and conditions set forth herein pursuant to which Broker will provide real estate sale services and Seller will engage Broker as exclusive agent to sell the Property described in this Agreement.

Commission Earned: Broker's commission shall be earned and payable upon the closing of a sale to any purchaser during the term of this Agreement or within days following termination if the buyer was procured by Broker or introduced to Seller during the term.

Broker Duties and Authority

Broker shall use commercially reasonable efforts to market the Property, to advertise, to show the Property to prospective purchasers, to manage offers, and to negotiate on Seller's behalf. Broker is authorized to list the Property in local multiple listing services, place signage on the Property, hold open houses, and engage cooperating brokers, subject to Seller's instructions regarding access and showing times.

Seller Representations and Warranties

Seller represents and warrants that Seller is the legal owner of the Property, has full authority to enter into this Agreement, and that all material facts known to Seller regarding the condition, zoning, title, and any encumbrances on the Property have been disclosed to Broker. Seller agrees to deliver all material disclosures required by law to prospective purchasers and to cooperate in the preparation of closing documents.

Offers, Negotiation and Acceptance

Broker shall present all offers to Seller promptly and shall act in Seller's best interests in negotiating terms. Seller shall not unreasonably withhold acceptance of bona fide offers. Seller authorizes Broker to accept earnest money deposits on Seller's behalf and deliver them to escrow, subject to Seller's prior written instructions.

Closing, Possession and Prorations

Closing shall occur at a mutually agreeable escrow or title company selected by the parties. Possession and keys shall transfer as specified in the sale contract; absent express terms, possession shall transfer at closing. Taxes, utilities, rents, and other prorations shall be adjusted and apportioned as of the closing date in accordance with customary local practice.

Default and Remedies

If Seller breaches this Agreement, Broker shall be entitled to pursue all remedies available at law or in equity, including recovery of any earned commission and reasonable costs and expenses, including attorneys' fees. If Broker materially breaches this Agreement, Seller may terminate and seek damages as provided by law.

Confidentiality and Publicity

Broker will keep confidential all non-public information concerning Seller's financial terms and motivations, except as required by law or necessary to consummate a sale. Broker may use images and descriptive information of the Property for marketing purposes, subject to Seller's reasonable restrictions provided in writing.

Indemnification

Seller agrees to indemnify, defend and hold harmless Broker and its agents from and against any claims, liabilities, losses or expenses arising from Seller's misrepresentations, failure to disclose material information, or breach of this Agreement, except to the extent caused by Broker's gross negligence or willful misconduct.

Governing Law; Entire Agreement; Severability

This Agreement shall be governed by the laws of the State selected by the parties and the courts located therein shall have exclusive jurisdiction. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements. If any provision is held invalid, the remaining provisions shall remain in full force and effect.

Notices

All notices under this Agreement shall be delivered in writing to the contact addresses set forth above or to any updated address provided in writing. Notices shall be effective upon personal delivery, confirmed courier delivery, or three business days after deposit in the mail.

Acknowledgment

Seller and Broker acknowledge that they have read and understand the terms of this Agreement, that each party has the authority to execute this Agreement, and that execution may be accomplished in counterparts and by electronic signature which shall be binding as originals.
