What the Real Estate Sales Broker Addendum Is

A Real Estate Sales Broker Addendum is a short, contract-level amendment used to record broker-specific terms tied to a property sale or listing. It clarifies commission amounts or splits, identifies the broker of record, documents agency relationships or dual-agency consent, and confirms any special conditions affecting payment at closing. The addendum is attached to the primary purchase or listing agreement and becomes part of the transaction record once signed by the parties and the broker.

Why use a separate Broker Addendum

A dedicated addendum isolates broker compensation, clarifies party roles, and reduces disputes at closing. It makes commission mechanics explicit and provides a clear record for tax reporting and license compliance.

Why use a separate Broker Addendum

Who prepares and who signs this addendum

Typical users include listing brokers, selling brokers, buyers and sellers, and their closing agents; each signs to acknowledge commission and agency terms.

  • Listing brokers confirm their role and fee arrangements before placing the property under contract.
  • Selling brokers use it to document negotiated splits, referral fees, or cooperative compensation.
  • Buyers and sellers sign to acknowledge broker compensation and any effect on net proceeds.

Use the addendum whenever broker-specific terms differ from the base contract, or when multiple brokers, splits, or conditional payments must be recorded.

Primary signer roles

Broker of Record

The licensed broker or broker of record signs to assert the agency relationship and confirm the commission structure. Their signature triggers commission entitlement and establishes who is authorized to receive payment at closing.

Sales Agent

The listing or selling agent signs to acknowledge the broker's direction and any internal split. The agent’s signature documents their involvement and can be evidence in commission disputes or MLS compliance reviews.

Core sections found in a professional Broker Addendum

A complete addendum balances clarity and brevity: define parties, state the property, describe commission terms, set payment triggers, specify governing law, and include signature blocks for all required parties.

Parties

Full legal names and license numbers for broker, agent, buyer and seller. Accurate identification prevents enforcement issues and misdirected payments.

Property

Street address, parcel ID, and legal description or MLS number. Precise property identification avoids ambiguity when multiple parcels or units are related.

Commission Terms

Exact percentage or flat fee, payment timing, and conditions for earned commission such as closing, funding, or buyer default.

Split and Referral

Detailed split percentages, referral fees, or holdback provisions between listing and selling brokers, including conditions for prorated payments.

Contingencies

Conditions that affect payment (inspection failures, title defects, financing contingency); specify how these change commission entitlement.

Signatures

Signature blocks for broker, agent, buyer, seller, and date lines. Include printed name and license number where required.
