Should Seller materially breach this Agreement, Broker may pursue all remedies available at law or equity, including recovery of the commission if a sale occurs in breach of this Agreement or to a purchaser introduced by Broker. Should Broker materially breach this Agreement, Seller may terminate and seek actual damages.

10. Indemnification; Insurance

Seller shall indemnify and hold Broker harmless from claims arising from Seller's misrepresentations or undisclosed conditions. Broker shall maintain professional liability and general liability insurance in amounts customary for the industry.

11. Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations and representations.
