This Real Estate Sales Form ("Agreement") sets forth the material terms and conditions under which the undersigned Seller offers and the undersigned Buyer agrees to convey and accept the real property described below. If Buyer fails to perform under this Agreement, Seller's remedies shall include retention of earnest money as liquidated damages or pursuit of specific performance or other remedies at law or equity. If Seller fails to perform, Buyer may seek specific performance, damages, or terminate and recover deposit. The parties agree any deposit shall be escrowed and disbursed only upon mutual written agreement or final order of a court having jurisdiction.

Miscellaneous Provisions

Risk of loss remains with Seller until Closing, unless otherwise agreed in writing. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations and commitments. Any amendment must be in writing and signed by both parties. The prevailing party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs.

Notices under this Agreement shall be sent to the addresses below by certified mail, overnight courier, or hand delivery and shall be effective upon receipt.
