REAL ESTATE SALES OFFICE OPERATION AGREEMENT

The Premises shall be used solely for real estate sales activities, model display, prospective buyer meetings, and related marketing. No residential occupancy, manufacturing, hazardous materials storage, or other uses not expressly permitted by Owner are allowed.

Signage: Broker shall obtain Owner's prior written approval for exterior signage. Temporary marketing displays shall be maintained in neat, professional condition and removed upon termination.

MAINTENANCE, REPAIRS, AND ALTERATIONS

INSURANCE, INDEMNITY, AND BONDING

Broker shall maintain commercial general liability insurance with limits not less than per occurrence and shall name Owner as an additional insured where requested. Broker shall provide proof of insurance upon execution and upon renewal.

Indemnity: Broker shall defend, indemnify, and hold Owner harmless from claims, losses, and liabilities arising from Broker's use of the Premises, except to the extent caused by Owner's gross negligence or willful misconduct.

COMPLIANCE, RECORDS, AND INSPECTION

Broker shall comply with all applicable licensing, consumer protection, advertising, and data privacy laws. Broker shall maintain records of sales activities, visitor logs, and transaction documents and shall permit Owner reasonable inspection upon prior notice.

DEFAULT, REMEDIES, AND TERMINATION

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by the laws of the state identified below. This Agreement constitutes the entire agreement between the Parties regarding the subject matter and supersedes all prior negotiations and understandings.

MISCELLANEOUS PROVISIONS

Assignment: Broker shall not assign this Agreement or any interest herein without Owner's prior written consent, which shall not be unreasonably withheld. Severability: If any provision is invalid, the remainder shall remain in effect. Waiver: Failure to enforce a right is not a waiver of that right.
