What the Real Estate Satisfaction of Contingencies Is

A Real Estate Satisfaction of Contingencies is a written declaration that one or more contract contingencies have been met, waived, or otherwise resolved so the transaction may proceed toward closing. Common contingencies include financing, inspection, appraisal, title, and sale-of-home conditions. The document identifies the affected contingency(ies), the party confirming satisfaction, relevant dates, and any supporting exhibits, and it becomes part of the transaction record once signed by authorized parties.

Why a Satisfaction Statement Matters for Closings

A clear Satisfaction of Contingencies reduces ambiguity about remaining obligations, creates a dated record that triggers lender and escrow actions, and helps prevent post-closing disputes by documenting which conditions were cleared and when.

Why a Satisfaction Statement Matters for Closings

Who typically completes a Satisfaction of Contingencies

Different parties prepare or sign this document depending on the contingency and contract terms.

  • Buyers confirming buyer-contingencies such as inspection, loan approval, or home sale contingencies.
  • Seller or listing agent when accepting buyer-delivered proof that a contingency is satisfied.
  • Lenders or title officers confirming lender or title-related conditions have been met.

Use the contract and escrow instructions to confirm who must sign; parties often rely on agents, title companies, or lenders to circulate a standardized satisfaction form.

Primary signers and their roles

Buyer

The buyer signs to acknowledge that buyer-specific contingencies (inspection, financing, sale of prior home) are satisfied or waived. The buyer’s signature confirms intent and may remove the buyer’s right to rescind for those items.

Listing Agent

The listing agent or seller may sign to acknowledge receipt and acceptance of proof that contingencies are satisfied, and to instruct escrow to proceed toward closing per the contract timeline.

Verify contract: Confirm the contingency language and deadlines in the purchase agreement.
  • 02
Gather proof: Attach lender letters, inspection reports, title commitments as applicable.
  • 03
Complete form: Enter property and contract details, list satisfied contingencies, and date the document.

How to configure an online satisfaction workflow

Set up routing, authentication, and attachments so all parties receive consistent, auditable records.

Field Configuration
Signer Order Sequential or parallel routing per contract
Authentication Email link, SMS code, or KBA as required
Attachments Permit PDF uploads for supporting proof
Audit Trail Enable IP, timestamp, and action logs

Digital signing and platform considerations

Choose a platform that preserves audit trails, meets compliance needs, and integrates with escrow or title workflows.

  • File formats: PDF and DOCX supported
  • Integrations: CRM and escrow system links
  • Authentication: Email, SMS, or stronger methods

Ensure the provider supports ESIGN/UETA compliance, secure storage (AES-256), and features you need such as bulk send and advanced authentication.

Where to send the completed Satisfaction of Contingencies

Circulate the document to all stakeholders so escrow and lenders can act without waiting for in-person paperwork.

  • Escrow Officer: Send the signed copy to escrow for closing steps and record retention.
  • Lender: Provide lenders with proof of satisfied loan conditions and supporting documentation.
  • Title Company: Deliver to title to clear exceptions and proceed with title insurance issuance.
  • All Parties: Email final executed copies to buyer, seller, and agents for their files.

Common preparation mistakes to avoid

  • Failing to attach the specific lender or inspection letter that proves the contingency was satisfied.
  • Entering an unclear contingency description that does not reference the contract section or condition.
  • Missing signature authority such as an agent signing without a power of attorney or corporate authorization.
  • Assuming verbal confirmation is sufficient instead of obtaining a signed, dated written satisfaction.

Risks and potential consequences of incorrect or late satisfaction

Loss of Rights: Buyer may lose contingency rescission rights
Deposit Risk: Earnest money forfeiture if breach found
Closing Delay: Lender or title objections can postpone closing
Dispute Exposure: Post-closing claims or litigation risk
Document Rejection: Escrow or lender may reject incomplete forms
Compliance Gaps: Improper authentication can undermine enforceability
