REAL ESTATE SALES CONTRACT ADDENDUM (SCA)

This Sales Contract Addendum ("Addendum") supplements and modifies the terms of the Purchase Agreement dated between Seller: and Buyer: . Default, Remedies and Indemnity

Default by Buyer: If Buyer fails to perform, Seller may (a) terminate the Agreement and retain the earnest money as liquidated damages, or (b) pursue specific performance and any available remedies at law. Retention of earnest money shall not preclude Seller from seeking additional damages where permitted by law.

Default by Seller: If Seller fails to perform, Buyer may (a) terminate and recover the earnest money, or (b) seek specific performance and any incidental damages. Damages shall be limited to those arising from Seller's breach absent fraud.

Indemnity: Each party shall indemnify and hold harmless the other party from third-party claims arising from breaches of representations, intentional misconduct, or negligent acts by the indemnifying party prior to closing.

Entire Agreement: Except as expressly set forth herein, the Purchase Agreement remains in full force and effect. This Addendum and the Purchase Agreement constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior negotiations.

Governing Law: This Addendum shall be governed by and construed in accordance with the laws of the state in which the Property is located.

Certifications and Acknowledgements

Each party certifies that it has the authority to enter into this Addendum, that the representations contained in the Purchase Agreement remain true and correct except as expressly modified herein, and that execution of this Addendum does not violate any agreement or law to which the signing party is subject.
