REAL ESTATE SELECTIONS ADDENDUM

Payment, Credits and Change Orders

Change orders that increase purchase price or upgrade costs must be approved in writing by Buyer and Seller and will be paid as follows: Buyer will pay upgrade cost differences to Seller or Seller's vendor within calendar days after receipt of invoice. If Buyer fails to timely pay, Seller may withhold delivery of upgraded items or pursue remedies set forth in the Purchase Agreement.

Installation, Inspection and Acceptance

All selections shall be installed in a workmanlike manner using materials consistent with the selected specifications. Buyer shall inspect all installed items within calendar days following Notice of Substantial Completion. Buyer shall provide Seller with a written punch list of any items not in substantial conformance with selections within that inspection period. Failure to timely provide a punch list constitutes Buyer acceptance of installed selections.

Default, Remedies and Indemnity

If Buyer fails to timely make payment for upgrades or approve necessary change orders, Seller may suspend work and pursue remedies for breach under the Purchase Agreement including specific performance, damages and recovery of reasonable attorneys' fees. If Seller fails to deliver selections or allowances as provided, Buyer may elect a credit against the Purchase Price equal to the monetary allowance or pursue other remedies under the Purchase Agreement. Each party agrees to indemnify and hold harmless the other from claims arising solely from that party's negligence or willful misconduct in connection with selections and installation.

Miscellaneous Provisions

Governing Law: This Addendum shall be governed by and construed in accordance with the laws of the state identified in the Purchase Agreement. This Addendum, together with the Purchase Agreement, constitutes the entire agreement between the parties with respect to selections and supersedes any prior agreements or representations relating to selections. Any amendment must be in writing and signed by both parties.
