What the Real Estate Seller CD Is and when it matters

A Real Estate Seller CD (Closing Disclosure for the seller side) itemizes transaction costs, prorations, payoffs, and net proceeds that affect the seller at closing. It clarifies adjustments, title charges, escrow items, and recording fees so the seller and settlement agent can confirm figures before funds transfer. While buyers receive a federally required Closing Disclosure under TRID, seller-side summaries are customary and may be required by local custom, lender instructions, or escrow policy to finalize settlement accounting and distribute proceeds.

Why an accurate Seller CD matters to the closing

A clear, correct Seller CD reduces last-minute disputes, supports lender payoff calculations, and documents net proceeds for tax and recordkeeping. It creates a single reference of fees and credits that title companies, brokers, and sellers rely on to reconcile closing funds.

Why an accurate Seller CD matters to the closing

Who prepares and relies on the Seller CD

Each reviewer should confirm identifiers, payoff figures, prorations, and any seller credits before signing or funding.

  • Title/Settlement Agent: Prepares the detailed seller accounting and calculates prorations and payoffs.
  • Seller or Seller's Agent: Reviews figures to confirm net proceeds, liens, and post-closing obligations.
  • Lender/Payoff Agent: Verifies mortgage payoff amounts, reconveys, and satisfies lien-related entries.

Primary signer roles

Seller(s)

Individual or entity transferring property ownership. Must match the deed/grantor name exactly and confirm payoff and tax prorations; mismatches can delay recording and distribution of funds.

Closing Agent

Title company or escrow officer who certifies accounting, prepares disbursement instructions, and arranges signing. Responsible for reconciling figures and delivering final settlement statements to parties.

Essential elements included in a professional Seller CD

A complete Seller CD lists transaction totals, proration calculations, payoffs, title and escrow charges, outstanding liens, adjustments, and net proceeds so each party can verify money flows at closing.

Property ID

Legal property address, parcel or county-assessor number, and legal description to ensure the settlement corresponds to the correct real property.

Payoff Summary

Itemized lender payoff amounts, per-lender account numbers, interest accrual calculations to payoff date, and any prepayment penalties or release fees.

Adjustments

Prorations for property taxes, HOA dues, utilities, and other recurring charges showing seller credits or debits based on the agreed allocation date.

Title & Recording

Title insurance premiums, closing fees, deed recording fees, courier or county recording expenses applicable to the seller’s side of the ledger.

Brokerage/Commission

Broker commission calculation, split percentages, and any seller-paid marketing or incentive costs deducted from gross proceeds.

Net to Seller

Gross proceeds less all deductions and lien payoffs, showing the final amount payable to the seller at funding.

Step-by-step: completing the Seller CD before closing

Follow this sequence to collect numbers, confirm payoffs, and finalize the seller accounting ahead of the closing session.

  • 01
Collect Documents: Gather payoff statements, tax bills, HOA ledger, and title commitment.
  • 02
Calculate Prorations: Compute prorations using agreed allocation dates and supporting source documents.
  • 03
Verify Payoffs: Obtain lender payoffs dated close to settlement and confirm account numbers.
  • 04
Finalize CD: Produce final seller CD, circulate to seller and closing agent, and verify signatures.

How the Seller CD flows through the closing process

This sequence shows typical routing from preparation through final disbursement and recordation.

  • Preparation: Title/escrow prepares the draft Seller CD and supporting calculations.
  • Review: Seller, agent, and lender review and request corrections as needed.
  • Signing: Seller signs the final Seller CD and any accompanying settlement paperwork.
  • Disbursement: Escrow funds payoffs, commissions, and disburses net proceeds after recording.

Timing considerations and common deadlines around closing

Some timing rules are federal, others are customary. Understand buyer and lender disclosure timings and confirm local recording schedules early in escrow.

Buyer CD Delivery:

Buyer Closing Disclosure: at least three business days before consummation under TRID

Seller CD Timing:

Seller net sheet typically delivered at or before closing; timing may vary by escrow practice

Payoff Timing:

Obtain lender payoff statements within three business days of closing when possible

Recording Delay:

County recording times vary; confirm next-day or multi-day recording windows

Tax Proration Cutoff:

Prorations use settlement date as the allocation point unless parties agree otherwise

Key transaction milestones from contract to funds disbursement

Sequential milestones that commonly determine when each party completes deliverables and when funds move.

Practical tips for accurate Seller CD preparation

Follow these practices to reduce errors, delays, and post-closing disputes when preparing the seller accounting and Closing Disclosure variants.

Confirm Legal Names
Compare seller names against the deed and tax records. Use entity formation documents for companies, and supply title to correct any discrepancies before closing.
Use Latest Payoffs
Request payoff figures dated within three business days of closing to avoid shortfalls and last-minute adjustments during funding.
Attach Source Documents
Include lender payoff statements, tax bills, HOA ledgers, and title invoices as supporting attachments to the Seller CD to aid verification.
Preserve Audit Trail
When using electronic workflows, ensure timestamps, signer identity, and delivery receipts are retained for future disputes or audits.

Common preparation mistakes that delay closings

  • Mismatched names between deed and Seller CD cause recording holds and require corrective affidavits or re-signing, which delays funding.
  • Using outdated payoff figures leads to shortages at funding time unless last-minute adjustments are coordinated with lenders.
  • Incorrect proration basis or arithmetic errors produce disputes after closing and can trigger post-closing reconciliation requests.
  • Failing to include lien payoff or tax lien details can block recording and prevent the release of escrowed proceeds.

Penalties and risks associated with incorrect Seller CDs

Recording Delay: Delayed deed recording
Funding Shortfall: Escrow may withhold proceeds
Tax Exposure: Incorrect tax reporting
Lien Claims: Unpaid liens remain against title
Contract Breach: Buyer/seller dispute risk
Regulatory Fines: Possible lender or disclosure penalties

Security, compliance, and formats to consider

Encryption: TLS 1.2/1.3 in transit
Data at Rest: AES-256 encrypted storage
Certifications: ISO 27001 and SOC 2 Type II
Regulatory: ESIGN and UETA compliance
Healthcare: HIPAA available with BAA
Formats: PDF, DOCX, HTML supported
