REAL ESTATE SELLER CREDIT ADDENDUM

This Seller Credit Addendum amends and becomes part of the Purchase Agreement dated Month Day Year between the parties identified below concerning the Property identified below.

Seller agrees to credit Buyer at Closing an amount not to exceed $ (the Credit). The Credit shall be applied as set forth in this Addendum and in accordance with applicable lender requirements.

The Credit is a seller concession and shall not be treated as an increase to the purchase price. The Credit is subject to lender approval if Buyer is obtaining financing. Seller shall not be required to pay more than the Credit amount specified in this Addendum.

Escrow and Closing Instructions

Seller shall deliver the Credit to escrow at or prior to Closing by instructions to escrow, check, or wire transfer as allowed by escrow. Buyer and Seller authorize escrow to apply the Credit as set forth in this Addendum. Any reduction of the Credit required by Buyer's lender shall be promptly communicated and the parties shall cooperate in good faith to resolve.

Conditions, Prorations and Limitations

1. This Credit is conditioned upon the Closing of the transaction. If the transaction fails to close for any reason other than Seller's default, the Credit shall be null and void and shall not be refundable to Buyer.

2. The Credit shall be prorated and applied at Closing. To the extent required by the lender, the Credit may be reduced to comply with lender or investor limits on seller concessions.

3. Seller represents that, to Seller's knowledge as of the date of this Addendum, there are no recorded or unrecorded judgments, liens, or encumbrances that would prevent Seller from delivering marketable title, except as disclosed in the Purchase Agreement.

Default and Remedies

If Seller fails to deliver the Credit at Closing as required by this Addendum and such failure is not cured prior to Closing, Buyer may elect, at Buyer's sole option, to either (a) terminate the Purchase Agreement and receive return of the earnest money; or (b) proceed to Close and offset the deficient Credit amount against amounts payable by Buyer at Closing. Buyer must provide written notice of the chosen remedy to Seller and escrow prior to Close of Escrow.

Lender and Third-Party Approval

This Addendum is subject to Buyer's lender's approval of the Credit. If the lender conditions, disallows or reduces the Credit, the parties agree to negotiate in good faith to amend the Purchase Agreement. If no agreement is reached within three business days of such notice, either party may terminate the Purchase Agreement in accordance with its terms.

Miscellaneous

This Addendum, together with the Purchase Agreement and any prior addenda expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations and agreements. This Addendum may be executed in counterparts and electronic signatures shall be binding.

Governing Law: This Addendum shall be governed by and construed in accordance with the laws of the state in which the Property is located.
