Seller represents and warrants that Seller is the lawful owner of the Property and has full authority to execute this Seller Package and to instruct Broker to market and attempt to sell the Property. Seller will deliver good and marketable title at closing free of undisclosed liens except as expressly disclosed in this Package.

Seller covenants to cooperate with Broker, title company, and Buyer by providing access, completing required disclosures, delivering requested documents, and executing all customary closing documents in a timely manner. Seller shall promptly notify Broker in writing of any change in the status of the Property or Seller's contacts.

Seller acknowledges that Broker may engage cooperating brokers and buyers, and authorizes Broker to split commission with cooperating brokers as agreed. Seller agrees that in the event of Seller default upon a signed purchase agreement, Broker shall be entitled to pursue remedies for unpaid commission and expenses as provided in any separate listing agreement or applicable law.

DEFAULT, REMEDIES, AND INDEMNIFICATION

If Seller materially defaults in the performance of Seller's obligations under this Seller Package or any resulting listing agreement, Seller shall be liable for Broker's actual damages, including reasonable attorneys' fees and costs incurred to enforce Broker's rights, to the extent permitted by law. Seller indemnifies Broker from any third-party claims arising from Seller's misrepresentations or failure to disclose material facts.

GOVERNING LAW; ENTIRE AGREEMENT

This Seller Package and any related listing agreement shall be governed by the laws of the state in which the Property is located. This Seller Package contains the material understandings between the parties regarding the matters described herein and, unless otherwise stated, supplements any separate listing agreement executed by the parties. To the extent of any conflict, terms of a signed listing agreement control.
